Westgold, formally Westgold Resources Limited, is an Australian gold mining and exploration company based in Perth, Western Australia. The company operates in the Murchison and wider Western Australian gold regions, where it owns and develops underground and open-pit mining assets, processing infrastructure, exploration tenements, and associated regional operations. Its principal operating centres have included the Meekatharra Gold Operation, the Fortnum Gold Mine, and the Cue Gold Operation, which incorporates the historic Big Bell mine. The company was incorporated in Western Australia in July 1987. It began life under the name Jenwood Resources NL and changed its corporate name several times before adopting Westgold Resources NL in 1994 and Westgold Resources Limited in 2008. In its early decades, Westgold was an exploration and resource-development company with interests in Western Australian gold assets rather than a large-scale producer. A major strategic turning point came through its relationship with Metals X. Metals X acquired a substantial minority interest in Westgold in 2006. In 2011, Westgold merged with Aragon Resources, adding a portfolio of Murchison Goldfields tenements that included the historic Big Bell Gold Mine. The combined company was subsequently taken under the control of Metals X in 2012. Westgold was delisted from the Australian Securities Exchange and operated as a Metals X subsidiary for several years. Westgold expanded its production base during this period. In 2013 it acquired the Australian gold assets of Alacer Gold, including the operating South Kalgoorlie Gold Mine and Higginsville Gold Mine. In 2014 it purchased the Meekatharra Gold Operation from the administrators of GMK Exploration and restarted mining at Meekatharra in 2015. It also acquired the Fortnum Gold Mine in 2015. These transactions moved Westgold from a primarily exploration-focused business toward a multi-operation gold producer. The company regained its independence through a demerger from Metals X in December 2016 and was subsequently relisted on the ASX. Peter Cook became Westgold's managing director during the separation period. Westgold later rationalised parts of its portfolio, selling South Kalgoorlie to Northern Star Resources in 2018 and Higginsville to RNC Minerals, now associated with Karora Resources, in 2019. Its continuing business became increasingly concentrated on the Murchison region and the Fortnum operation. On 1 August 2024, Westgold and Karora Resources completed a merger. The transaction created a larger Western Australian gold producer with assets in the Murchison region and the Beta Hunt and Higginsville area. Following the transaction, Westgold became dual listed in Australia and Canada. Its present identity is therefore that of a regional gold producer and exploration group rather than a consumer-goods brand. Its commercial positioning is based on ownership of established mines, processing capacity, exploration potential, and a portfolio of Western Australian gold deposits.
History
Westgold was incorporated in Western Australia on 27 July 1987. Its original corporate name was Jenwood Resources NL. During the company's formative period it adopted several successive names: Poverty Gold NL in 1990, Gold and Resource Holdings NL in 1993, Westgold Resources NL in 1994, and Westgold Resources Limited in 2008. The sequence reflected changes in corporate direction and asset strategy as the company developed its Western Australian exploration and mining interests. Metals X acquired a 27 percent interest in Westgold in 2006. Westgold then merged with Aragon Resources in May 2011. Aragon contributed a portfolio of non-operational gold assets in the Murchison Goldfields, including the historic Big Bell Gold Mine. The tenements associated with those assets had historically produced approximately five million ounces of gold, although that historical production did not represent Westgold's own production at the time of the merger. In 2012, Metals X acquired full control of Westgold in a transaction reported at approximately A$67 million. Westgold was delisted from the ASX and continued as a Metals X subsidiary. The company's asset base expanded again in October 2013, when it bought Alacer Gold's Australian gold assets. The acquisition included the operating South Kalgoorlie and Higginsville mines and helped transform Westgold into a producing gold company. Westgold also rebuilt its presence in the Murchison. In June 2014 it acquired the Meekatharra Gold Operation from the administrators of GMK Exploration. The operation was centred on the Bluebird Gold Mine, and mining at Meekatharra restarted in June 2015. In October 2015, Westgold acquired the Fortnum Gold Mine, adding another established Western Australian operation to its portfolio. The relationship with Metals X was reversed through a demerger completed in December 2016. Westgold subsequently returned to the ASX as an independent company. Several directors initially served on both boards, while Peter Cook became Westgold's managing director and was expected to leave the Metals X board during the following year. After independence, Westgold progressively reshaped its portfolio. It sold the South Kalgoorlie Gold Mine to Northern Star Resources in March 2018 for reported consideration of A$80 million, consisting partly of cash and partly of shares. In June 2019, it sold Higginsville to RNC Minerals for reported consideration of A$50 million, also divided between cash and shares. RNC already owned the nearby Beta Hunt Mine, making the transaction strategically relevant to the emerging Beta Hunt–Higginsville operating district. As of 2022, Westgold's principal operating centres were Fortnum, Meekatharra, and Cue. The Cue Gold Operation included the historic Big Bell mine. These assets gave the company a regional operating model based on multiple mines, centralised or shared processing infrastructure, and exploration across the Murchison Goldfields. On 1 August 2024, Westgold merged with Karora Resources. The combination brought Westgold's Murchison assets together with Karora's Western Australian mining interests and made Westgold a dual-listed company with a Toronto Stock Exchange listing in addition to its Australian listing. The merger marked the latest major stage in Westgold's evolution from a small exploration company, through a period as a Metals X subsidiary, into an independent multi-operation gold producer.
