Overview
Viacom18 Media Private Limited is an Indian entertainment and media company established in 2007 as a joint venture between Network18 Group and Viacom. It developed a broad portfolio spanning general-entertainment television, regional-language channels, children's programming, sports distribution, film production and digital streaming. Its best-known television identity was Colors, which became the anchor brand for a network of Hindi and regional-language entertainment channels. The company also operated or developed digital services including Voot and, after a later restructuring, incorporated Reliance's JioCinema streaming business. The company expanded beyond its original Indian joint-venture structure during the 2010s. Colors was taken overseas, including a United States service branded Aapka Colors, and Viacom18 formed a distribution joint venture with Sun Network. It added Nickelodeon Sonic in 2011 to address the Indian children's television market. In 2014, TV18 acquired the non-Telugu-language television assets of ETV Network. These channels were subsequently rebranded in 2015 as Colors Marathi, Colors Gujarati, Colors Kannada, Colors Bangla and Colors Odia, extending the Colors proposition into important regional markets. Viacom18 also became a vehicle for international content and sports partnerships. Viacom's majority interest was acquired by TV18 in 2018, giving TV18 operational control while leaving Viacom with a minority holding. The company later launched Colors HD in Malaysia and entered an agreement to distribute live National Basketball Association games across its network. Its studio arm, Viacom18 Studios, added film production and distribution to the company's television and digital activities. The ownership structure changed materially in the early 2020s. Reliance Industries became the controlling shareholder through Network18 and related entities, while Bodhi Tree Systems, established by Uday Shankar and James Murdoch with backing from the Qatar Investment Authority, invested in the company. The 2022 investment was presented as a foundation for a streaming-oriented Indian entertainment platform. The transaction also brought JioCinema under the Viacom18 structure and reduced Paramount Global's interest, although Paramount continued to act as a content partner. In 2023 and 2024, Reliance and The Walt Disney Company agreed to combine their Indian television and streaming assets. Viacom18 was used in the transaction structure through which Disney Star's assets were combined with Viacom18. Following regulatory clearances and the required corporate steps, the merger became effective on 14 November 2024. The resulting JioStar business brought together Colors, Star's television portfolio, Sports18, Star Sports, JioCinema and Disney+ Hotstar. Viacom18 became the largest shareholder in JioStar with a reported 46.82% interest, while Disney retained a minority stake and Reliance remained the controlling industrial group. On 30 December 2024, a share conversion increased Reliance's direct stake in Viacom18 to 83.88%. Viacom18 is therefore best understood today as a Reliance-controlled media entity and a principal shareholder in JioStar, rather than solely as the independent channel-and-streaming company it was before the merger.
History
Viacom18 was established in 2007 as a joint venture between Network18 Group and Viacom to build an Indian television and entertainment business. Its initial development centered on the Colors general-entertainment brand, which gave the company a national Hindi-language identity while creating a platform for later regional expansion. In January 2010, Colors was extended internationally through Aapka Colors in the United States. Later that year, Viacom18 and Sun Network formed Sun18, a 50:50 distribution venture. In December 2011, the company entered children's television with Nickelodeon Sonic. A major expansion occurred in January 2014, when TV18 acquired ETV Network's non-Telugu-language television assets. The transaction added channels serving several important linguistic markets. In March 2015, five of those services were rebranded: ETV Marathi became Colors Marathi, ETV Gujarati became Colors Gujarati, ETV Kannada became Colors Kannada, ETV Bangla became Colors Bangla and ETV Odia became Colors Odia. This strategy made Colors both a national entertainment label and a regional channel family. Viacom18 broadened its business beyond linear television through Viacom18 Studios, film-related activities and sports distribution. In 2018, TV18 announced the acquisition of Viacom's majority position in the joint venture, giving TV18 operational control while Viacom remained a minority shareholder. The company continued international distribution, launching Colors HD in Malaysia in 2019 through Astro with Malay and English subtitles. It also secured an arrangement to carry live National Basketball Association games across its networks, supporting a wider sports-content proposition. During 2020 and 2021, possible combinations with Sony's Indian media business and Zee Entertainment were reported, but neither proposed path became a Viacom18 merger. The company's ownership and strategic direction instead shifted toward Reliance. In 2022, Bodhi Tree Systems, associated with Uday Shankar and James Murdoch and backed by the Qatar Investment Authority, agreed to invest in Viacom18. The transaction was framed as a means to build a large Indian entertainment platform with a streaming-first orientation. JioCinema was brought into the Viacom18 structure, and Paramount remained involved as a shareholder and content partner for a period. Regulatory approval was obtained in September 2022, and the investment closed in April 2023. The decisive transformation came from Reliance's agreement with The Walt Disney Company to combine their Indian media businesses. Announced in stages between late 2023 and 2024, the transaction brought Disney Star's television, sports and streaming assets together with Viacom18's portfolio. Approvals were obtained from Indian authorities, including the Competition Commission of India, and the merger became effective on 14 November 2024. The combined JioStar platform included Colors, Star's entertainment channels, Star Sports, Sports18, JioCinema and Disney+ Hotstar. A further restructuring on 30 December 2024 converted compulsorily convertible preference shares into equity and increased Reliance's direct interest in Viacom18 to 83.88%.
