Sistema, formally AFK Sistema PAO and also known historically as Sistema JSFC, is a Russian diversified investment conglomerate headquartered in Moscow. It was established in 1993 by Vladimir Yevtushenkov and Evgeny Novitsky to bring together information-technology and telecommunications assets, including interests associated with Mobile TeleSystems (MTS). Over time, the group developed a portfolio model in which it acquired, built, managed and sometimes divested businesses across both consumer services and industrial sectors. Telecommunications and technology have remained central to Sistema's identity. Its interests have included MTS, the Moscow City Telephone Network, SkyLink, Sitronics, NIIME, Mikron and STROM telecom. The group has also participated in banking through MTS Bank and East-West United Bank, and in digital commerce through an investment in Ozon. Other activities have included healthcare and pharmaceuticals through Medsi and Binnopharm, agriculture through the Steppe agricultural holding, timber and forest products through Segezha Group, real estate and house-building through Sistema-Gals and an investment in Etalon Group, hospitality through Cosmos Hotel Group, and travel services through Intourist. Sistema's portfolio has changed considerably over the years. Some businesses were sold, separated or ceased to be controlled by the group, including Detsky Mir Group, Sistema Mass Media, Intourist and certain aerospace and defense-related assets. The former Kronstadt Group, acquired in 2015 and associated with unmanned aerial vehicles and flight simulators, was no longer controlled by Sistema after 2021. The company has also described investment activity in innovation and venture projects, including proposed green-hydrogen production in the Khabarovsk region. The group's most consequential corporate dispute was connected with Bashneft. In 2014, a major Sistema interest in Bashneft was seized by the Russian state. After Rosneft brought a substantial claim against Sistema in 2017, Sistema's shares fell sharply and the dispute proceeded through Russian arbitration. In December 2017, Sistema agreed to an amicable settlement requiring a payment of 100 billion rubles. Sistema's governance and ownership changed materially in 2022. Vladimir Yevtushenkov, who had been chairman of the board, reduced his holding below a controlling level to 49.2% and resigned from the board. The company also faced a more difficult international environment after the Russian invasion of Ukraine. The United States imposed sanctions on Sistema in November 2023. Its London-listed global depositary receipts, which had traded from 2005, were delisted in May 2023. Sistema was founded in 1993 by Vladimir Yevtushenkov and Evgeny Novitsky as a holding company intended to consolidate information-technology and mobile-communications businesses. Its early development was closely connected with the formation and expansion of telecommunications interests, including Mobile TeleSystems. This origin gave Sistema a technology-oriented foundation, although the group subsequently broadened into a multi-industry portfolio. During the 2000s, Sistema expanded its presence in telecommunications, banking, technology and real estate. Its business interests included MTS, the Moscow City Telephone Network, SkyLink, Sitronics, NIIME, Mikron, STROM telecom, MTS Bank, East-West United Bank and Sistema-Gals. The group also developed a capital-markets profile: its global depositary receipts began trading on the London Stock Exchange in 2005. The company continued to diversify during the following decade. Its interests or investments extended into retail, media, healthcare, pharmaceuticals, agriculture, timber, hospitality, travel and electronic commerce. Businesses associated with the wider portfolio included Detsky Mir Group, Sistema Mass Media, Medsi, Binnopharm, Steppe, Segezha Group, Cosmos Hotel Group, Intourist and Ozon. The group also became involved in Etalon Group, becoming its largest shareholder in 2019. These activities reflected a strategy of combining controlling or significant stakes in operating companies with investment in new sectors. A major interruption came through the Bashneft dispute. In 2014, 72% of Sistema's interest in Bashneft was seized by the Russian government. Rosneft later pursued a claim against Sistema, and the company's shares fell by approximately 37% on 3 May 2017 after the claim was reported. The claim was subsequently registered by the Arbitration Court of Bashkortostan at 106.6 billion rubles. In December 2017, Sistema and Rosneft reached an amicable agreement under which Sistema agreed to pay 100 billion rubles to resolve the dispute. Sistema also changed the composition of its portfolio. It no longer controlled several earlier businesses, including Detsky Mir Group after 2020 and Intourist after 2021. The group acquired Kronstadt Group in 2015, giving it exposure to unmanned aerial vehicles and flight simulators, but ceased to control that aerospace and defense-related business in 2021. In July 2021, Kronstadt acquired 80% of NPP Strela, a producer involved in helicopter-type unmanned aerial vehicle work. Sistema's later portfolio descriptions no longer treated the group as controlling defense-industry assets. Alongside established businesses, Sistema explored innovation projects. In 2021, it was associated with a proposed green-hydrogen pilot project in Khabarovsk Krai, with a projected production capacity of 350,000 tonnes per year according to the Russian Ministry of Industry and Trade. The group also maintained interests in venture and innovation projects. Governance changed in 2022. Etienne Schneider and Jeannot Krecké, who had served as directors, resigned in February. In April, Yevtushenkov's stake fell to 49.2%, and he resigned from the board after having served as its chairman. International operations and financing were subsequently affected by the geopolitical environment following Russia's invasion of Ukraine. Sistema's London GDRs were delisted in May 2023, ending an international listing that had begun in 2005. The United States imposed sanctions on the company in November 2023. Sistema remains active as a Russian diversified conglomerate, with its principal identity centered on the ownership and development of operating businesses rather than on a single consumer product.
