San Miguel Brewery

San Miguel Brewery is a Philippine brewing company whose principal business is the production and distribution of beer and related beverages. It is part of the San Miguel Corporation group through San Miguel Food and Beverage, Inc., and is best known for San Miguel Beer, a lager that has become one of the Philippines' most recognizable consumer brands. The brewery also produces or distributes other alcoholic and non-alcoholic beverage products, including Red Horse, San Mig Light, San Miguel Premium All-Malt, San Miguel Super Dry, Gold Eagle Beer, Kirin Ichiban, flavored beer products and zero-alcohol offerings. The business began in Manila in 1890 as La Fábrica de Cerveza San Miguel under a Spanish Royal Charter permitting beer production in the Philippines. Founder Enrique María Barreto was joined by Pedro Pablo Roxas, who became a managing partner and recruited German brewmaster Ludwig Kiene as technical director. The brewery's early development established the San Miguel name in the domestic market and created the foundation for the wider San Miguel corporate group. The company was incorporated as San Miguel Brewery, Inc. in 1913. In 1963, the corporation adopted the name San Miguel Corporation as it expanded beyond brewing into food, packaging and other beverage activities. For many years the beer operations functioned as San Miguel Corporation's beer division. The present San Miguel Brewery, Inc. was incorporated on July 26, 2007, and the domestic beer business was transferred into the new company on October 1 of that year. San Miguel Brewery subsequently integrated its international beer activities. Kirin Holdings acquired a 48.3 percent interest in 2009, and San Miguel Brewery acquired full ownership of San Miguel Brewing International Ltd. in 2010. That international business supported operations in markets including Hong Kong, mainland China, Indonesia, Thailand and Vietnam. The company has therefore operated both as a dominant Philippine brewer and as the international platform for the San Miguel beer portfolio. San Miguel Brewery was listed on the Philippine Stock Exchange in 2008. Trading was suspended in January 2013 after minimum-public-ownership rules took effect. The company announced a voluntary delisting and tender offer, and the Philippine Stock Exchange approved the delisting effective May 15, 2013. In 2017 and 2018, San Miguel Corporation consolidated its beverage interests through a share-swap transaction involving San Miguel Pure Foods Company, Inc.; that company was renamed San Miguel Food and Beverage, Inc. The restructuring placed San Miguel Brewery within the group's integrated food-and-beverage structure. The company remains closely associated with mainstream Philippine beer culture, while its portfolio covers premium lager, strong beer, light beer, dark and wheat styles, flavored products, hard seltzer and zero-sugar or zero-alcohol alternatives. Its historical importance is also reflected in markers installed by Philippine historical authorities at former and current San Miguel sites, including a 2015 marker commemorating the brewery's 125th anniversary.

In November 2017, San Miguel Corporation announced a consolidation of its beverage businesses through a share swap involving San Miguel Pure Foods Company, Inc. A special stockholder meeting in January 2018 approved the transaction and related amendments. The Philippine Securities and Exchange Commission approved the corporate-name change in March 2018, and San Miguel Pure Foods became San Miguel Food and Beverage, Inc. San Miguel Brewery now operates within that larger food-and-beverage structure, with San Miguel Corporation remaining the controlling group and Kirin retaining a substantial ownership relationship. The brewery's portfolio has developed beyond its original flagship lager. It includes mainstream San Miguel Pale Pilsen, strong beer under the Red Horse name, light and premium products, dark and wheat styles, flavored beer, hard seltzer and zero-alcohol or zero-sugar alternatives. The company has also handled selected soft-drink, malt and other non-alcoholic beverage brands. Historical markers installed by Philippine authorities, including a 2015 marker at San Miguel's headquarters commemorating the brewery's 125th anniversary, recognize the business's long role in Philippine industrial and consumer history.
