Overview
MegaFon is one of Russia's principal telecommunications brands and a leading mobile-network operator. The business is headquartered in Moscow and serves customers primarily in Russia, with additional operations in Tajikistan and South Ossetia. As reported for 2024, the operator served approximately 77.26 million subscribers across its markets and operated in all 83 federal subjects of Russia. Its portfolio includes mobile voice and data, broadband connectivity, fixed-line communications, roaming, digital and value-added services, television, communications infrastructure, and selected consumer hardware. The company originated as North-West GSM CJSC, registered in Saint Petersburg on June 17, 1993. Its early international investors included Sonera of Finland, Telia International AB of Sweden and Telenor Invest of Norway, while Nokia supplied network equipment. Commercial GSM service began in 1994, making North-West GSM an early Russian GSM operator. During the second half of the 1990s it expanded across Saint Petersburg and the surrounding Leningrad region, exceeded 100,000 subscribers in 1999, introduced WAP access and metro coverage, and established roaming agreements with European countries. A decisive transformation came in 2002. North-West GSM adopted the MegaFon name while combining with a group of regional operators, including businesses serving Moscow, the Urals, the Caucasus, central Russia, Siberia, the Volga region and the Russian Far East. The name is a play on the Russian word for “megaphone,” while also suggesting scale and telephony. The reorganization gave the brand a nationwide footprint and made it the first Russian GSM operator to cover the country's entire territory. MegaFon subsequently developed from a mobile operator into a broader communications group. It introduced commercial 3G services in the Saint Petersburg region in 2007, reorganized its regional operating structure in 2008–2009, created the PROSTO virtual operator, rebranded its Tajikistan business as MegaFon-Tajikistan, and expanded into fixed-line and broadband infrastructure through the acquisition of Synterra and PeterStar in 2010. In 2011 it partnered with Scartel to develop LTE networks and established MegaLabs as a center for designing and launching value-added services. The brand also pursued consumer technology and adjacent digital assets. It launched the MegaFon Mint smartphone in 2012, obtained a cable-television license in 2013, introduced LTE Advanced in Moscow in 2014, and acquired a 12% stake in VK.com in the same year. Beginning in 2015, it sold fixed and mobile phones under its own brand. MegaFon has also sponsored sports and entertainment properties, including the Kontinental Hockey League, Renault's Formula One team in 2009, the 2014 Sochi Winter Olympics, the esports organization Virtus.pro and Everton, although the Everton sponsorship was later suspended. MegaFon was publicly listed in Moscow and London in 2012. Its board later determined that public-company status was no longer a strategic priority. London-listed global depositary receipts were removed in 2018, and the company's Moscow-listed shares were delisted in 2019. Ownership was subsequently consolidated through USM Telecom and AF Telecom Holding. The company reported revenue of 313 billion Russian rubles for 2021, although this dossier does not provide a comparable current figure. MegaFon's market identity is built around broad geographic coverage, network capacity, mobile-data performance and a wide communications bundle. Independent network measurements have at different times ranked it highly for Russian mobile-internet speed and coverage, though other measurements and regulatory tests have found weaker results in particular cities or periods. Since Russia's invasion of Ukraine, MegaFon has also faced international sanctions and restrictions, including United States, Swiss, Canadian and Ukrainian measures. These developments have affected the regulatory and…
History
MegaFon began as North-West GSM CJSC, registered in Saint Petersburg on June 17, 1993. Alexander Malyshev was its first general director. The initial investor base included Scandinavian telecommunications interests—Sonera, Telia International AB and Telenor Invest—and Nokia supplied equipment for the network. Commercial GSM operations started in 1994, giving the company an early position in Russia's emerging mobile market. By 1999, the operator had more than 100,000 subscribers and had covered Saint Petersburg and the Leningrad region while expanding toward the Russian North-West. It introduced WAP internet access, began mobile service in the Saint Petersburg metro and signed roaming agreements covering all European countries. A mass-market strategy adopted in 2000 helped accelerate customer growth; the subscriber base passed 500,000 in November 2001 and one million in May 2002. On May 7, 2002, North-West GSM was renamed MegaFon. The rebrand accompanied the integration of Sonic Duo in Moscow and several regional operators covering the Urals, Caucasus, central regions, Volga area, Siberia and the Far East. This consolidation transformed the company from a regional carrier into a national mobile brand. The name references the Russian word for megaphone and conveys both scale and voice communication. MegaFon expanded its technology platform through a series of network generations. It launched a trial commercial UMTS fragment in Saint Petersburg in October 2007 and announced broader 3G availability later that month, enabling faster data, video communication and mobile television. In 2008 the company approved a legal reorganization involving several regional entities. The reorganization was completed in July 2009, with services organized through North-West, Stolichny, Kavkaz, Center, Volga, Ural, Siberia and Far East branches. The company added new operating formats and geographies. In 2009 it founded the PROSTO virtual mobile network on the basis of its Moscow branch and rebranded Tajikistan's TT mobile business as MegaFon-Tajikistan. From March 2010, Ostelecom provided service under the MegaFon name in the Tskhinvali region. MegaFon also moved into infrastructure and converged communications by acquiring Synterra in June 2010 and PeterStar later that year. In 2011, MegaFon agreed to cooperate with Scartel on LTE development and created MegaLabs as a wholly owned center for value-added-service design and launch. The company entered branded hardware in 2012 with the MegaFon Mint smartphone and obtained a cable-television broadcasting license in 2013. In 2014 it introduced international LTE roaming, launched LTE Advanced in part of Moscow and acquired a 12% stake in VK.com. From 2015 onward it expanded its hardware range to include fixed and mobile phones. MegaFon became a public company in 2012 with listings in Moscow and London. In 2018 its board announced that maintaining public status was no longer a strategic priority. London GDRs were delisted in October 2018, followed by a mandatory offer after ownership consolidation, and Moscow-listed shares were removed in June 2019. The company is now described as being owned through USM Telecom and AF Telecom Holding. The brand has remained a major Russian operator, reporting 313 billion rubles of revenue in 2021 and approximately 77.26 million subscribers across Russia and its other reported markets in 2024. Its history has also included disputes about advertising, service terms, roaming charges and network performance.
