Overview
MDNX was a private telecommunications company headquartered in Bracknell and London, United Kingdom. It developed from Solution1, a former Siemens service-group business, and was established by Mark Thompson and Wayne Churchill after they joined Solution1 in 2009. The MDNX brand was launched in 2010, with the company pursuing an acquisition-led strategy aimed at assembling a broad portfolio of communications infrastructure and managed technology services. Within its early period, MDNX acquired Solution1 and its customer base, giving the new business an initial base of enterprise and public-sector relationships. It also acquired the retail division of Viatel, adding fibre-network assets and hosting sites, and acquired CI-Net, which contributed cloud and wireless capabilities. These transactions positioned MDNX as more than a conventional connectivity provider: its offering combined network access with managed communications, hosting, cloud integration and related technology services. The company expanded its portfolio again in August 2012 by acquiring Octium, whose trading names included Griffin and Iconnyx. In March of the same year, MDNX was among 12 companies selected to provide services to the United Kingdom Public Services Network. That contract opportunity reflected the company’s focus on secure and managed connectivity for institutional and enterprise customers, in addition to commercial telecoms activity. A major turning point came in December 2013, when MDNX acquired the entire issued share capital of Easynet from LDC. Easynet was an international provider of managed networking, hosting and cloud-integration services. Following the transaction, the combined business operated under the Easynet name, while Mark Thompson served as chief executive. The combination broadened the business’s international reach and consolidated MDNX’s earlier acquisitions into a larger managed-services platform. MDNX, trading as Easynet, was acquired by Interoute in September 2015. Interoute announced an agreed purchase price of £402 million. This transaction ended MDNX as an independent operating brand in the form described in its standalone company history. Interoute itself was later acquired by GTT Communications in 2018; that transaction was announced at approximately $2.3 billion, or €1.9 billion, and completed on 31 May 2018. MDNX is therefore best understood as a historical telecommunications company whose assets and operations became part of successive managed-networking groups rather than as an active standalone brand.
History
MDNX originated in the service operations associated with Solution1, a former Siemens service-group company. Mark Thompson and Wayne Churchill joined Solution1 in 2009 and subsequently decided to establish a separate business. MDNX acquired Solution1 and its customer base within months of its formation, providing an initial platform of customers and service capabilities. The MDNX brand was launched in 2010. The company pursued rapid expansion through acquisitions. It bought the retail section of Viatel, obtaining fibre-network assets and hosting sites, and acquired CI-Net, adding cloud and wireless capabilities. These deals helped MDNX assemble a hybrid telecommunications and managed-technology portfolio rather than relying solely on traditional carrier connectivity. In March 2012, MDNX was one of 12 successful bidders for the provision of services to the United Kingdom Public Services Network. The award opportunity strengthened its position in public-sector and secure-networking markets. In August 2012, it acquired Octium, which traded as Griffin and Iconnyx, further enlarging its service operations. The most consequential transaction in MDNX’s independent history occurred in December 2013, when it acquired Easynet from LDC. Easynet provided managed networking, hosting and cloud-integration services internationally. After the acquisition, the combined organization adopted the Easynet name, and MDNX chief executive Mark Thompson continued as its chief executive. The transaction effectively made Easynet the outward-facing identity of the combined business. In September 2015, Interoute agreed to acquire MDNX, trading as Easynet, for £402 million. The deal brought the business into Interoute and ended the standalone phase of the MDNX brand. Interoute was subsequently acquired by GTT Communications in a transaction announced at approximately $2.3 billion (€1.9 billion); completion took place on 31 May 2018. MDNX’s history is consequently defined by its 2010 launch, rapid acquisition of complementary network and technology assets, the 2013 Easynet combination, and its eventual absorption into larger telecommunications groups.
