Overview

Jardine Lloyd Thompson Group plc, generally known as JLT Group or JLT, was a British multinational professional-services business focused on insurance brokerage, reinsurance, risk management, employee benefits, actuarial consulting and related financial advice. Its headquarters were in London, and its activities extended beyond the United Kingdom through specialist businesses and regional operations. The business originated in 1972 as a division of Jardine Matheson. It later developed into Jardine Insurance Brokers, which became publicly listed on the London Stock Exchange in 1991. A major structural turning point came in 1997, when Jardine Insurance Brokers merged with Lloyd Thompson Group to create Jardine Lloyd Thompson Group. The combined company used the resources and relationships of both predecessor businesses to build a broader insurance and advisory platform. JLT expanded through a mixture of organic development, specialist acquisitions and international partnerships. Its activities covered commercial insurance and reinsurance broking, captive management, employee benefits, pensions and retirement services, health and risk consulting, investment services and wealth management. During the late 2000s and early 2010s, the group added businesses in insurance, actuarial consulting, wealth management, Latin America, the Caribbean, Southeast Asia and reinsurance. The acquisition of HSBC Actuaries and Consultants strengthened its employee-benefits and actuarial capabilities, while the purchase of Towers Watson’s reinsurance brokerage business supported its reinsurance strategy. In 2009, the group introduced a simplified customer-facing identity using the acronym JLT and an updated version of its pyramid device. This branding was intended to present the group as a unified international business while retaining a connection to its established corporate identity. The organization continued to operate through specialist divisions and locally established businesses, reflecting the technical and jurisdiction-specific nature of insurance and advisory services. JLT’s growth also brought legal and competitive challenges. In 2015, the Court of Appeal of England and Wales upheld an interim injunction sought by Willis Group in a dispute concerning the recruitment by JLT of a large group of Willis employees, including senior personnel. The matter illustrated the importance of specialist teams and individual expertise in insurance broking, where client relationships and technical knowledge are central to competition. The group’s independent existence ended after Marsh McLennan agreed in September 2018 to acquire JLT in a transaction valued at approximately £4.3 billion. Completion took place on 1 April 2019. JLT therefore ceased to operate as an independent listed group, although its businesses and capabilities became part of Marsh McLennan. Its historical importance lies in the creation of a large specialist insurance and professional-services platform through a combination of brokerage, consulting and international expansion.

History

Jardine Lloyd Thompson began in 1972 as a division of Jardine Matheson. Its early development was rooted in insurance broking, an activity that later became the foundation for a broader professional-services group. The insurance business was subsequently known as Jardine Insurance Brokers and reached an important corporate milestone in 1991, when it was first listed on the London Stock Exchange. In 1997, Jardine Insurance Brokers merged with Lloyd Thompson Group. The transaction created Jardine Lloyd Thompson Group plc, combining the Jardine insurance business with Lloyd Thompson’s brokerage platform and establishing the JLT name used during the company’s independent corporate life. The enlarged group pursued growth through specialist insurance businesses and advisory services rather than limiting itself to a single line of brokerage. During the 2000s, JLT expanded its platform through acquisitions. It acquired Pavilion Insurance in 2007 and announced the acquisition of Harman Wicks and Swayne in 2008. In 2009, it purchased HSBC Actuaries and Consultants for £27.25 million, adding a UK employee-benefits and actuarial consultancy. The following year it acquired the Iimia Wealth Management division of Midas Capital for £7.25 million and obtained a majority interest in Chilean broker Orbital Corredores de Seguros through the acquisition of a majority stake in its holding company, Alta SA. The group refreshed its identity in July 2009, presenting itself primarily as JLT and using an evolved pyramid device. The change gave the internationally expanding organization a shorter common identity while its specialist divisions continued to address different insurance and advisory markets. International and specialist expansion continued after 2010. In 2012, JLT acquired Towner Management Group’s Barbados operations. Towner’s United States arm entered a joint venture with JLT, and the business was subsequently branded JLT Towner. In the same year, JLT acquired Alexander Forbes Consultants and Actuaries for £17 million. In 2013, it purchased Malaysian broker Insfield Insurance Brokers and combined two Indonesian healthcare-management and third-party-administration businesses, PT GESA Assistance and PT Global Asistensi Manajemen Indonesia, into PT JLT GESA. JLT strengthened its reinsurance position in 2013 by acquiring Towers Watson’s reinsurance brokerage business. In 2014, it announced that JLT Specialty and Lloyd & Partners would merge, alongside an expansion of its capabilities in the United States. The group also disposed of Thistle, its underwriting arm, in 2016, demonstrating a degree of portfolio reshaping as it concentrated on brokerage and advisory activities. The company’s competitive position was tested in litigation in 2015. Willis Group obtained an interim injunction against JLT in relation to the recruitment of a substantial group of Willis employees. The Court of Appeal of England and Wales held that the injunction was available to Willis. The dispute reflected the importance of experienced teams, client relationships and specialist knowledge in the insurance-broking sector. JLT remained a public company and a constituent of the FTSE 250 Index until Marsh McLennan agreed in September 2018 to acquire it. The transaction valued JLT at approximately £4.3 billion and was completed on 1 April 2019. Following completion, JLT no longer existed as an independent listed group; its operations and capabilities were integrated into Marsh McLennan. The company’s history therefore spans a transition from a Jardine Matheson division to a publicly listed, internationally diversified specialist broker and adviser, followed by absorption into one of the world’s major insurance-services groups.
