Overview
Hrvatski Telekom, commonly known as HT or Telekom, is a Croatian telecommunications company headquartered in Zagreb. It operates across consumer and business communications, offering mobile telephony, fixed-line services, broadband connectivity, television, and information-technology solutions. The company is the principal Croatian operating company within the Deutsche Telekom group and is listed on the Zagreb Stock Exchange under the ticker HT. HT was created in December 1998 when the former state-owned Croatian Post and Telecommunications organization was divided into Hrvatska pošta, the postal operator, and Hrvatski Telekom, the telecommunications company. Operations under the new structure began on 1 January 1999. The separation took place during the Croatian telecommunications sector’s transition from state ownership toward privatization and competition. Deutsche Telekom became the company’s strategic owner during the privatization process. It acquired 35% of HT in 1999 and increased its holding by a further 16% in 2001, establishing majority control. The Croatian state later reduced its ownership through transfers and a public offering. HT’s October 2007 initial public offering placed a substantial portion of the company with private and institutional investors and made the company a prominent listed Croatian enterprise. As described in the company’s reference material, Deutsche Telekom held 53.5% of HT in 2024. The company expanded its mobile position through the acquisition of Cronet in 2001. It later created HT-mobilne komunikacije as a separate mobile-services entity, adopted Deutsche Telekom’s T-family branding in 2004, and operated fixed and mobile businesses under the T-Com and T-Mobile names for a period. On 1 January 2010, HT unified its principal fixed and mobile operations, discontinuing T-Com and T-Mobile as consumer-facing master brands while retaining some business-market use for a transitional period. HT’s portfolio has broadened beyond traditional voice services. Its consumer activities include mobile plans, fixed telephony, broadband access, and television through MaxTV, including IPTV and satellite services. The company has also operated digital terrestrial pay television through EvoTV and offers services under the Iskon brand. Iskon Internet joined the group in 2006 and was ultimately merged into HT in 2024. For business customers, HT provides information-technology and communications services through Combis, an IT-services company acquired in 2010. The company has also pursued regional and adjacent-market investments. In 2005, it acquired a minority stake in HT Eronet in Bosnia and Herzegovina. In 2017, it purchased a majority stake in Crnogorski Telekom, Montenegro’s largest telecommunications company at the time of the transaction. HT subsequently sold or reorganized several non-core holdings and business lines, including its electricity business and travel-agency investment, while integrating television, network-distribution, and internet subsidiaries into the main organization. Today, Hrvatski Telekom’s positioning is that of a full-service national communications provider within the Deutsche Telekom family. Its competitive scope combines mobile and fixed networks, broadband and television bundles, digital services, enterprise IT, and network infrastructure. History
Hrvatski Telekom emerged from the restructuring of Croatia’s former integrated postal and telecommunications administration. On 28 December 1998, Hrvatska pošta i telekomunikacije was divided into two entities: Hrvatska pošta and Hrvatski Telekom. The telecommunications company began operating in its new form on 1 January 1999, at a time when Croatia was opening the sector to privatization and competition. The Croatian government’s privatization program brought Deutsche Telekom into the ownership structure. In October 1999, the German telecommunications group acquired 35% of HT. Deutsche Telekom added another 16% in 2001, becoming the majority shareholder. The same year, HT acquired Cronet, a Croatian mobile operator that had introduced GSM services in the country in 1996. HT created HT-mobilne komunikacije in 2002 to organize mobile operations as a distinct business. In October 2004, the company adopted the T-HT name and aligned its commercial structure with Deutsche Telekom’s international branding. Fixed-network activities were associated with T-Com, while mobile services used T-Mobile. This arrangement was later superseded by organizational consolidation. On 1 January 2010, the T-Mobile subsidiary was absorbed into HT, bringing the main fixed and mobile operations together. The T-Com and T-Mobile brands were subsequently withdrawn from most consumer use, although they continued for some business customers during a transition period. Ownership was progressively broadened through state share transfers and a public offering. In 2005, the Croatian government transferred 7% of its shares to the Croatian War Veterans’ Fund and their families. Later that year, HT acquired 39.1% of JP HT d.d. Mostar, known as HT Eronet, from the Federation of Bosnia and Herzegovina. In May 2006, HT expanded its domestic consumer and internet portfolio by acquiring Iskon Internet. HT’s October 2007 initial public offering transferred 32.5% of the company to market investors. The Croatian government’s direct position fell further over subsequent years, while Deutsche Telekom retained strategic control. HT was listed on the Zagreb Stock Exchange, and its global depositary receipts were traded on the London Stock Exchange until 2014. Later government holdings were transferred among public funds and reduced through subsequent disposals. The company expanded its enterprise capabilities in 2010 by acquiring Combis, an information-technology services provider. It also made a significant investment in neighboring Montenegro. In January 2017, HT acquired a 76.53% stake in Crnogorski Telekom from Magyar Telekom, another Deutsche Telekom-controlled company. This gave HT a majority position in Montenegro’s largest telecommunications operator at the time of the transaction. During the late 2010s and early 2020s, HT combined expansion with portfolio rationalization. It acquired an interest in OT-Optima Telekom in 2014 and was permitted to manage the company for a period under a competition-authority arrangement. HT transferred several subsidiary interests to HT holding in 2018, sold its electricity business to RWE Hrvatska, and acquired HP Produkcija, a digital terrestrial television provider. HP Produkcija was renamed HT Produkcija in 2019. HT later sold its investment in the E-tours travel agency. HT began selling its Optima Telekom shares in 2020. In 2021, HT and Zagrebačka banka agreed to transfer their combined 54.31% interest to Telemach Hrvatska; the transaction was completed in January 2022. Other changes focused on integration. Kabelsko distributivni sustav was merged into HT in December 2021, HT Produkcija was merged into HT in June 2022, and Iskon’s shares were transferred from HT holding into HT in June 2023. The merger of Iskon into HT was completed in January 2024. In the same month, a network-services unit from Ericsson Nikola Tesla Servisi joined HT Servisi. HT’s current business model combines national mobile and fixed networks with broadband, television, consumer digital services, and enterprise IT. MaxTV provides IPTV and satellite television, while EvoTV has represented pay digital terrestrial television. Iskon has operated as a consumer internet and communications brand, and Combis supports business technology services. Through its ownership by Deutsche Telekom and its listing in Zagreb, HT occupies both a national-market operating role and a capital-markets role within a larger European telecommunications group.
