Overview

General Insurance Corporation of India, widely known as GIC Re, is an Indian public-sector reinsurance company headquartered in Mumbai. Incorporated on 22 November 1972 under the Companies Act, 1956, it was created during the nationalisation and restructuring of India's general-insurance industry. The company initially served as the holding and coordinating organisation for four nationalised direct insurers—New India Assurance, National Insurance, Oriental Insurance and United India Insurance—and was also designated India's national reinsurer. GIC's formation followed the General Insurance (Emergency Provisions) Ordinance of 13 May 1971 and the General Insurance Business (Nationalisation) Act, 1972. These measures transferred general-insurance businesses previously operated by more than one hundred private entities into public ownership and reorganised them into four operating insurance companies. GIC received its certificate of commencement of business on 1 January 1973. On the same date, it was notified under section 101A of the Insurance Act, 1938, as the Indian reinsurer responsible for receiving obligatory cessions from direct insurers. This gave the company a central role in pooling and redistributing insurance risk within the Indian market. The organisation's structure changed substantially in the late 1990s and early 2000s. In November 2000, GIC was reorganised as a pure reinsurance company rather than a holding company for India's four nationalised general insurers. Its direct foreign inward reinsurance business was subsequently written for its own account from 1 April 2002. On 21 March 2003, the four former subsidiaries were administratively delinked from GIC and became directly owned by the Government of India. GIC retained its corporate name while adopting the market identity GIC Re to communicate its specialised reinsurance role. GIC Re provides reinsurance capacity to Indian and overseas insurers. Its business spans property, engineering, marine, aviation, motor, liability, agricultural, catastrophe, health, life and other specialty lines, subject to the products and risks accepted in particular markets. In India, direct general insurers are required to make a prescribed level of obligatory cession to the Indian reinsurer, with the applicable percentage determined annually by the Insurance Regulatory and Development Authority of India. This statutory role has historically provided GIC Re with an important position in the domestic insurance system, although its competitive environment changed after India opened its reinsurance market to foreign participants in 2016. Internationally, GIC Re accepts treaty and facultative business and has developed operations, subsidiaries, memberships and regulatory permissions in selected foreign markets. Its overseas activities have included Africa, Asia, Europe, Russia and Latin America. In April 2020, its Brazilian operation received an upgrade from occasional-reinsurer status to admitted-reinsurer status from Brazil's Superintendence of Private Insurance, expanding its ability to participate in that market under the applicable regulatory framework. GIC Re is listed on both BSE Limited and the National Stock Exchange of India. The company remains controlled by the Government of India and occupies a distinctive position between public-sector policy objectives and commercial reinsurance requirements. Its brand promise is associated with financial protection and risk sharing, reflected in the Sanskrit motto approved in 1976, commonly translated as “I shall protect you in times of distress.”

History

GIC Re emerged from the nationalisation of India's general-insurance sector. On 13 May 1971, the Government of India issued the General Insurance (Emergency Provisions) Ordinance, bringing the business of 107 insurance entities under public control. The General Insurance Business (Nationalisation) Act, 1972 subsequently established the legal framework for transferring ownership and consolidating operations. Four operating insurers were created through this process: New India Assurance, United India Insurance, Oriental Insurance and National Insurance. GIC was incorporated in Bombay on 22 November 1972 under the Companies Act, 1956, and received its certificate of commencement of business on 1 January 1973. Its original mandate was broader than that of a conventional reinsurer. It acted as the holding and coordinating company for the four nationalised insurers, while also supervising and conducting general-insurance business for the Government of India. On 1 January 1973, GIC was notified under section 101A of the Insurance Act, 1938, as India's national reinsurer. It assumed the role of receiving obligatory cessions from Indian direct insurers, a function previously associated with India Reinsurance Corporation and Indian Guarantee and General Insurance Company. The arrangement made GIC a central mechanism for retaining and distributing insurance risk within the country. The company's corporate identity and structure evolved as India's insurance system was liberalised. In November 2000, GIC was reborn as a pure reinsurance company. It continued to be notified as the Indian reinsurer and to receive obligatory cessions, but its business increasingly focused on reinsurance rather than ownership and coordination of direct-insurance companies. From 1 April 2002, foreign inward reinsurance business was written on GIC's own account. On 21 March 2003, an administrative order from the Ministry of Finance delinked the four former subsidiaries from GIC. They became directly owned by the Government of India, leaving GIC as a specialised national reinsurance institution. The company subsequently adopted the commercial identity GIC Re, while retaining its legal name. The change helped distinguish its reinsurance activities from the direct-insurance businesses that had once formed part of its corporate structure. GIC Re's domestic role has been supported by India's obligatory-cession framework. Direct general insurers are required to cede a prescribed portion of policy values to the Indian reinsurer, subject to regulatory limitations and exceptions. The Insurance Regulatory and Development Authority of India determines the applicable percentage periodically. This mechanism gives GIC Re a structural role in India's insurance market while exposing it to changes in regulation, competition and the growth of private and foreign reinsurance capacity. India's reinsurance market opened to foreign participants by late 2016. International groups from Germany, Switzerland, France and other jurisdictions began operating under the new regulatory framework. GIC Re therefore moved from a position of near-exclusive national dominance into a more competitive market, while continuing to serve as India's public-sector reinsurer and a significant provider of domestic and cross-border capacity. The company has also pursued international activity through overseas subsidiaries, memberships and regulatory permissions. Its reported international network has included GIC Re South Africa, GIC Perestrakhovanie in Russia and GIC Re India Corporate Member. In Brazil, its operating status was upgraded in April 2020 from occasional reinsurer to admitted reinsurer by the Superintendence of Private Insurance. These developments supported broader participation in international treaty and facultative business. GIC Re's identity also includes a long-standing institutional motto. On 26 August 1976, the board approved the Sanskrit phrase “Āpatkāle Rakṣisyāmi,” generally rendered in English as “I shall protect you in times of distress.” The motto was incorporated into a modified logo during the 1980s. It expresses the company's role as a risk-bearing institution whose business is to provide financial protection when insured losses occur.
