Overview
First Horizon Bank is the banking subsidiary and principal operating brand of First Horizon Corporation, a publicly traded financial-services company headquartered in Memphis, Tennessee. Its origins date to the chartering of First National Bank of Memphis on March 25, 1864, making it one of the oldest banking institutions in the region. The institution was established during the American Civil War after the National Banking Act of 1863 and later became an important financial institution in the Mid-South. The bank expanded through mergers, acquisitions and geographic growth. It acquired German Bank in 1895 and merged with Central-State National Bank in 1926. During the mid-twentieth century it developed a suburban branch network and became the largest bank in the Mid-South by 1967. A holding-company structure was introduced in 1969, and the organization adopted the First Tennessee name during an acquisition-led expansion in the 1970s. The First Tennessee brand subsequently became associated with consumer banking, commercial banking, mortgage finance, brokerage, insurance and other financial services. During the 1980s and 1990s, the company broadened its financial-services scope. It introduced national check-clearing operations, brokerage services and mortgage-related businesses, and acquired several mortgage companies. By the mid-1990s, its mortgage-originations business ranked among the largest in the United States. The holding company changed its name to First Horizon National Corporation in 2004 to reflect interstate expansion and diversification. The company later expanded through acquisitions of Mountain National Bank, TrustAtlantic Bank and Capital Bank Financial. In 2019, First Horizon agreed to combine with IberiaBank Corporation. The transaction closed in July 2020, producing a larger regional bank with operations across multiple southeastern states. The organization also consolidated its operating brands under the First Horizon name, replacing the former First Tennessee Bank, FTB Advisors and FTN Financial identities. A separate 2020 branch transaction with SunTrust, now Truist, added 30 banking locations, deposits and loans. First Horizon provides personal and business deposit accounts, lending, treasury and payment services, commercial real-estate finance, wealth management, capital-markets services and related institutional offerings. Toronto-Dominion Bank's proposed acquisition of First Horizon was terminated amid regulatory uncertainty, during a period of stress for regional banks that also included the failures or forced acquisitions of several U.S. institutions. First Horizon remained an independent public company after the termination. Its current brand therefore represents both a long-running Tennessee banking franchise and the expanded organization created through interstate consolidation.
History
First Horizon traces its history to First National Bank of Memphis, which was chartered on March 25, 1864, following the creation of the national banking system in the United States. Frank S. Davis was its founder. The institution began during the Civil War while Memphis was under Union control and became the city's first nationally chartered bank. It acquired German Bank in 1895 and participated in the development of the Federal Reserve System, including the organization of the Federal Reserve Bank of St. Louis in 1914. First National merged with Central-State National Bank in 1926 while retaining the First National name and charter. It opened its first suburban branch in 1942 and had seven offices by 1952. The organization announced a major Memphis office tower in 1961 and was identified as the largest bank in the Mid-South by 1967. First National Holding Corporation was formed in 1969. In 1971 it became First Tennessee National Corporation as management pursued acquisitions, and several acquired banks were renamed First Tennessee Bank. The First Tennessee name was applied more broadly to the banking operation in 1977. The company diversified during the 1980s into mortgage brokerage, mortgage origination and insurance. First Express became an early national check-clearing service in 1981, while brokerage services were introduced in 1982. Mortgage expansion continued through acquisitions, including MNC Mortgage in 1993, Peoples Commercial Services Corporation in 1994, and Maryland National Mortgage Corporation and SNMC Management Corporation in 1995. These transactions made the company one of the leading U.S. mortgage originators at that time. In 1999, the slogan “All Things Financial” expressed the company's broadened scope. The holding company adopted the First Horizon National Corporation name in 2004 as its business expanded across state lines. It acquired Republic Mortgage in 2007, but subsequently reduced or reshaped parts of its mortgage and branch operations. In 2007 it sold 34 branches outside Tennessee, and in 2008 it sold its residential-mortgage origination and servicing business to MetLife. During the financial crisis, the U.S. Treasury invested $866 million in the company through the Troubled Asset Relief Program in 2008; First Horizon repurchased that investment in 2010. Interstate banking expansion resumed in the 2010s. First Horizon acquired Mountain National Bank in 2013, TrustAtlantic in 2015 and Capital Bank Financial in 2017. The company announced a merger with IberiaBank in 2019, and the combination closed in July 2020. The resulting organization retained Memphis as its headquarters and adopted First Horizon as the common brand across its banking, advisory and financial-services operations. In the same period, the company acquired 30 SunTrust branches, which were converted to First Horizon locations. In February 2022, TD Bank Group announced a proposed all-cash acquisition of First Horizon Corporation valued at $13.4 billion. The deal was terminated in May 2023 because of regulatory uncertainty. The announcement occurred amid severe stress among U.S. regional banks, and First Horizon's share price declined sharply around the failed transaction and broader banking turmoil. The company continued as an independent public regional bank under the First Horizon brand.
