History
F&G's operating history began with its incorporation in Maryland in 1959 and commencement of business in 1960. Until 1995 it was wholly owned by United States Fidelity and Guaranty Company, while USF&G Corporation served as the ultimate controlling entity. A major ownership transition began when The St. Paul Companies announced its acquisition of USF&G in 1998. Following the merger, the life and annuity company became part of the St. Paul insurance organization and, after a 1999 merger-related reorganization, a direct subsidiary of St. Paul Fire and Marine Insurance Company. Old Mutual acquired the business in 2001 for a reported purchase price of $635 million. In 2002, Old Mutual reorganized its United States insurance holdings and transferred the company to Omnia Life Insurance Company. The operating company changed its name to OM Financial Life Insurance Company effective in 2007. In 2009, it became involved in the insurance industry's response to SEC Rule 151A, which proposed treating indexed annuities as securities subject to registration and distribution requirements. A legal challenge was filed against the SEC's authority to regulate fixed indexed annuities in that manner, and legislation was introduced seeking an exemption. The proposal generated industry opposition and did not become the enduring regulatory framework for the products. Old Mutual sold its life and annuity business to Harbinger Group in 2011.
