Overview
Erste Group is an Austrian financial services group headquartered in Vienna and one of the principal banking networks in Central and Eastern Europe. Its institutional history reaches back to October 1819, when the Erste österreichische Spar-Casse was established in Vienna to provide ordinary people with access to savings and credit. The modern group combines this savings-bank tradition with a large regional universal-banking platform. The group serves private individuals, small and medium-sized businesses, large companies, public-sector borrowers and institutional investors. Its activities include retail banking, consumer and mortgage lending, corporate and investment banking, payments, wealth management, private banking, asset management and selected capital-markets services. The group is the central institution of the Austrian savings-bank sector and is associated with the Österreichischer Sparkassenverband. Its subsidiaries and affiliated savings banks give it a particularly strong presence in Austria and in the eastern part of the European Union. Erste Group’s regional expansion accelerated after its 1997 initial public offering. Capital raised through the Vienna listing and later increases helped finance acquisitions in the Czech Republic, Slovakia, Hungary, Croatia, Romania and Serbia. The strategy created a geographically integrated network whose principal banking brands include Erste Bank in Austria, Česká spořitelna in the Czech Republic, Slovenská sporiteľňa in Slovakia, Erste Bank Hungary, Erste & Steiermärkische Bank in Croatia, Banca Comercială Română in Romania and Erste Bank Novi Sad in Serbia. The group later entered or developed indirect positions in several additional Balkan markets. It sold its Ukrainian subsidiary in 2013. In 2008, the former Erste Bank structure was reorganized. Erste Group Bank AG became the holding company for the group’s domestic and foreign banking subsidiaries, while Erste Bank der oesterreichischen Sparkassen AG continued as the major Austrian operating bank. Since the introduction of European Banking Supervision, Erste Group has been classified as a significant institution and is directly supervised by the European Central Bank. Digital banking is a major part of the group’s customer proposition. Its George platform, first introduced in Austria in 2015, was subsequently rolled out across several Central and Eastern European markets. George combines everyday payments, account management, personal-finance tools and selected lending and investment functions in a single digital interface. Erste also operates social-banking initiatives, including services for financially excluded customers, microfinance and financing for social enterprises and entrepreneurs. The group’s public identity combines the Austrian savings-bank heritage with a regional, digitally oriented banking model. ERSTE Foundation is its main shareholder. Erste Group shares are listed in Vienna, Prague and Bucharest and have been included in major regional and national equity indices. The group’s Vienna headquarters, Erste Campus, opened as a major workplace and corporate center in 2016.
History
Erste Group traces its roots to the Erste österreichische Spar-Casse, founded in Leopoldstadt, Vienna, in October 1819. The institution was created in the savings-bank tradition and developed into a major Austrian banking organization. Over time, the Austrian savings-bank network became the foundation for the group’s domestic distribution and customer relationships. The group’s modern transformation began in the 1990s, when Erste Bank pursued consolidation and expansion. In 1996, Salzburger Sparkasse joined the banking group. The 1997 initial public offering in Vienna provided capital for a broader Central and Eastern European acquisition program. Erste’s first Hungarian acquisition was Mezőbank in 1997, renamed Erste Bank Hungary the following year. The group also established or developed positions in Slovenia and other regional markets during this period. In 2000, Erste acquired a majority stake in Česká spořitelna in the Czech Republic and took a major position in Slovenská sporiteľňa in Slovakia. It subsequently increased its Czech holding to near-total ownership and later acquired the remaining shares. In Hungary, the acquisition of Postabank in 2003 was followed by its merger with Erste Bank Hungary in 2004. In Croatia, banks acquired by Erste Bank and Steiermärkische Bank und Sparkassen were combined into Erste & Steiermärkische Bank; Riječka Banka joined the Croatian operation in 2003. The group significantly strengthened its southeastern European presence in the middle of the 2000s. In 2005 it acquired a controlling interest in Banca Comercială Română, Romania’s largest bank at the time, and purchased a majority holding in Serbia’s Novosadska banka, later renamed Erste Bank Novi Sad. It continued increasing its Romanian ownership and held almost all of BCR by 2018. Erste also acquired Bank Prestige in Ukraine in 2007, renamed it Erste Bank Ukraine, and sold the subsidiary in 2013. A major structural change took place on 9 August 2008. The former Erste Bank was divided between the newly established holding company Erste Group Bank AG and the Austrian operating subsidiary Erste Bank der österreichischen Sparkassen AG. The foreign subsidiaries moved under the holding company, creating the corporate structure used by the group thereafter. The global financial crisis and subsequent sovereign and banking-market interventions placed pressure on the group. In 2011, Erste Bank expected a substantial annual loss after large writedowns and provisions, with particular effects from Hungarian intervention in Swiss-franc mortgage lending and weak economic conditions in Romania. The group later restored its capital position and in August 2013 repaid the participation capital issued in 2009. Erste Group increasingly emphasized digital banking and financial inclusion. George was launched in Austria in January 2015 and later introduced in Slovakia, the Czech Republic, Romania, Croatia and Hungary. In Vienna, the group opened Erste Campus in 2016 as its new headquarters, while the Erste Financial Life Park, known as FLiP, began providing interactive financial-education programs. Social banking initiatives developed from the 2006 creation of Die Zweite Sparkasse and expanded into microfinance and support for financially vulnerable customers across the group’s core markets. Today, Erste Group operates as a regionally focused universal bank. Its core franchise spans Austria and several Central and Eastern European countries, supported by subsidiary banks, savings-bank relationships and digital distribution. It is a significant institution under European banking supervision, with shares listed in Vienna, Prague and Bucharest. Its main shareholder is the non-profit ERSTE Foundation.
