Overview
Doğuş Group, formally associated with Doğuş Holding A.Ş., is one of Turkey’s major private-sector conglomerates. Its portfolio has included approximately 250 companies and investments spanning seven broad sectors, with activities ranging from automotive distribution and vehicle finance to construction, tourism, media, restaurants, luxury retail, real estate, technology and energy. Rather than operating as a single consumer-facing product brand, Doğuş functions as an investment and operating group that builds, acquires, manages and partners with specialized businesses and international brands. The group’s origins are generally traced to 1951, when Ayhan Şahenk began investing in construction. Construction became the foundation of the enterprise: Doğuş Construction, formally established in 1966, participated in major Turkish infrastructure projects including roads, ports and hospitals. The same year, the group expanded into tourism through the establishment of Antur Tourism and the acquisition of Club Alantur in Alanya. During the late 1970s, Şahenk diversified into banking, creating an important financial base for later expansion. The group grew particularly rapidly during Turkey’s economic liberalization in the 1980s and 1990s. It entered automotive importation and distribution, tourism partnerships, food and beverage, and media, working with international companies and brands including Volkswagen Group, Sheraton Hotels and Resorts and ConAgra. In the media sector, Doğuş developed or operated television channels, radio stations, digital services and live-event businesses. In 1998, the group acquired two food-retail chains and operated NTV, while also using a partial public offering of Garanti Bank to support expansion. By the end of the 1990s, the group had become a large and highly diversified enterprise. After Ayhan Şahenk’s death in 2001, leadership passed to his son Ferit Şahenk. Under his direction, Doğuş continued to develop international partnerships and reorganize its portfolio. Garanti Bank remained a central asset for a period, but the group reduced its ownership over time. In 2004, it sold a substantial stake in Garanti to General Electric in a transaction described as an important step in the bank’s ownership restructuring. Garanti later became part of the BBVA group and is now known as Garanti BBVA, so it is no longer a Doğuş-controlled business. Doğuş has also pursued landmark urban, cultural and hospitality projects. In 2013, it won the tender to develop Galataport Istanbul in partnership with Bilgili Holding. The project transformed part of Istanbul’s Karaköy waterfront into a cruise port, retail, dining and cultural destination. Doğuş became a major supporter of İstanbul Modern and participated in the development of its new Renzo Piano-designed museum building. Through its restaurant platform D.ream, the group has invested in premium restaurant concepts in Turkey and internationally, including businesses associated with Nusr-Et, Zuma, Roka, Coya and other hospitality brands. The group faced significant financial pressure during Turkey’s 2018 currency and debt crisis. It sought negotiations with lenders concerning the restructuring of substantial outstanding borrowings and subsequently pursued asset sales and other deleveraging measures. Divestments and portfolio changes have included interests connected with luxury hotels, the İstinye Park shopping mall, the MB92 superyacht refit business and D-Marin marinas. The precise composition of the portfolio changes over time, but the group remains active through a combination of wholly owned companies, joint ventures, distribution agreements and minority investments.
History
Doğuş Group’s roots lie in the construction investments begun by Ayhan Şahenk in 1951. Construction provided the group with its original capabilities and relationships in Turkey’s developing infrastructure market. Doğuş Construction was formally established on June 17, 1966, and went on to participate in road, port and hospital projects. The group also entered tourism in 1966 through Antur Tourism and the acquisition of Club Alantur in Alanya. During the late 1970s, Ayhan Şahenk expanded into banking. The financial sector became an important part of the group’s development and later supported investments in unrelated industries. During the market-oriented reforms of the 1980s, Doğuş broadened its activities through international partnerships, importing and joint ventures. Its areas of interest came to include automotive distribution, hotels, food and beverage, construction and media. Relationships with Volkswagen Group, Sheraton Hotels and Resorts and ConAgra helped establish the group as a major intermediary for international brands in Turkey. Ferit Şahenk returned to Istanbul in 1989 and initially trained at Garanti Bank. After moving to the holding company, he became increasingly involved in expanding and professionalizing the group. In the late 1990s, Doğuş acquired two food-retail chains and operated NTV. It also created Humanitas, a recruitment and human-resources business intended to support management and talent needs across a complex portfolio. The group’s reported annual revenue reached US$5.7 billion in 1999, although this historical figure should not be treated as a current financial measure. Ayhan Şahenk died in April 2001, after which Ferit Şahenk assumed leadership of the group. The new leadership continued the strategy of combining Turkish operating companies with international partnerships. In banking, Doğuş gradually reduced its ownership of Garanti. The 2004 sale of a substantial stake to General Electric was an important step in the bank’s subsequent ownership evolution. Garanti later became part of BBVA and is no longer a Doğuş Group banking subsidiary. Doğuş expanded its media interests through NTV and related television, radio and digital properties. It also built an automotive platform centered on Doğuş Automotive, which distributes Volkswagen Group brands in Turkey, together with second-hand vehicle sales through DOD and financing through Volkswagen Doğuş Finans. The group’s broader portfolio has included retail, luxury goods, restaurants, hotels, marinas and real estate. The 2013 Galataport tender marked one of the group’s most prominent urban-development projects. In partnership with Bilgili Holding, Doğuş developed the Karaköy waterfront into a cruise terminal and mixed-use destination. The project was connected with the group’s support for İstanbul Modern and the development of the museum’s new building designed by Renzo Piano. In food and hospitality, Doğuş created D.ream, or Doğuş Restaurant Entertainment and Management. The platform developed and invested in restaurant concepts in Turkey and overseas. Its international portfolio has included the Azumi Group, which operates concepts such as Zuma and Roka, the Paraguas Group, Nusr-Et Group and Coya. The association with Nusr-Et helped turn the restaurant and its chef Nusret Gökçe into an internationally recognized hospitality phenomenon, although the restaurant brand is distinct from the Doğuş corporate brand. The Turkish currency and debt crisis of 2018 exposed the group to substantial financial pressure. Doğuş sought lender discussions concerning debt restructuring and subsequently focused on reducing leverage through asset sales and portfolio adjustments. Reported disposals or reductions included the Capri Palace Hotel, a stake in İstinye Park, the MB92 superyacht refit center and D-Marin marina assets. These changes illustrate the group’s continuing shift between ownership, partnership and divestment rather than a fixed portfolio. Today, Doğuş is best understood as a diversified Turkish holding group rather than a single-line manufacturer. Its businesses and investments have covered automotive, construction, tourism, media, food and beverage, retail, real estate, technology and energy. The group’s scale, international partnerships and portfolio structure have made it an important participant in Turkey’s private economy, while the ownership and operating status of individual subsidiaries can change over time.
