Cisco Videoscape

Cisco Videoscape was the name Cisco used for the pay-television and video technology business it acquired through its purchase of NDS Group. The business originated in Israel in 1988 as News Datacom, a venture associated with News Corporation and the Weizmann Institute of Science. Its early work centered on securing paid television broadcasts and protecting subscription rights through smart-card technology, conditional access and encryption. This technology became the foundation of VideoGuard, a widely deployed conditional-access platform for satellite, cable and other pay-TV operators. NDS expanded from conditional access into a broader software and systems portfolio for television operators. Its products covered digital rights management, set-top-box middleware, electronic program guides, personal video recording, interactive television, video processing, content distribution, advertising and systems integration. The company also supplied technology for satellite, broadband IPTV, hybrid and over-the-top delivery environments. Products such as MediaHighway, XTV and VideoGuard were used by large operators including BSkyB, DirecTV, Sky Italia, Sky Deutschland, Foxtel, Tata Sky and other international pay-TV businesses. Historical company materials cited deployment across tens or hundreds of millions of households and devices, although those figures varied by product and reporting period. News Corporation acquired NDS in 1992 after the company had developed its encryption system for BSkyB. NDS later became a public company on NASDAQ, made a series of acquisitions in interactive television, video compression, residential gateways and gaming, and was taken private by News Corporation and Permira in 2009. Cisco announced its agreement to acquire NDS in March 2012, completing the transaction later that year. Cisco subsequently integrated the business into its video portfolio and renamed it Videoscape in 2014. Under Cisco, Videoscape represented an end-to-end video platform rather than a single consumer-facing product. It was intended to help service providers ingest, secure, manage, distribute and monetize television and premium video across managed networks and connected devices. The portfolio included conditional access, DRM, multiscreen delivery, subscriber management, video discovery and operator applications. VideoGuard Connect extended pay-TV entitlements to connected media devices while preserving subscription controls across managed and over-the-top networks. Cisco later chose to exit this part of the business. In 2018, Cisco sold the former NDS-related video and security operations to the private-equity firm Permira for approximately US$1 billion, according to contemporary reporting. Permira relaunched the acquired business as Synamedia. Cisco Videoscape therefore no longer operates as an independent brand, although much of its technology lineage continued through Synamedia's pay-TV and video software activities.

The technical foundation of the business dates to research at the Weizmann Institute of Science in the early 1980s. Professor Adi Shamir and researchers Amos Fiat and Yossi Tulpen worked on methods for protecting software and transactions from unauthorized copying. Their work included smart-card concepts that later attracted the interest of News Corporation, which needed a secure way to distribute subscription television and pay-per-view programming. News Datacom was established in 1988 by Dov Rubin, Jonathan Hashkes, Michael Dick and Yishai Sered, with participation from News Corporation and the Weizmann Institute. The company developed encryption and conditional-access technology for BSkyB, then associated with News Corporation. News Corporation acquired the business in 1992 for a reported US$15 million and renamed it News Digital Systems, or NDS. NDS broadened its capabilities through internal development and acquisitions. In 1996 it merged with Digi-Media Vision, a video-compression company acquired by News Corporation the previous year. The video-compression division was later sold to Tandberg Television. NDS also acquired or developed businesses involving interactive television, middleware, residential gateways, online gaming, betting applications and Internet video. Important transactions included the acquisition of Orbis Technology in 2000, Visionik in 2002, MediaHighway from Canal+ Technologies in 2003, Jungo in 2006 and CastUp in 2007. Some acquired activities were subsequently sold, including Orbis Technology in 2011. NDS became a NASDAQ-listed public company in 1999. In 2009, News Corporation and Permira arranged to acquire the public shareholders' interests, returning NDS to private ownership. Cisco announced its acquisition of NDS on March 15, 2012, and completed the transaction later that year. Cisco renamed the business Videoscape in 2014 and used it as part of its broader strategy for service-provider video, multiscreen television and connected-device delivery. The Videoscape portfolio combined NDS's historical conditional-access and middleware capabilities with Cisco networking and service-provider technologies. Its products supported satellite, cable, broadband IPTV, hybrid delivery and over-the-top distribution. VideoGuard remained the best-known product family, while VideoGuard Connect addressed the extension of pay-TV rights to tablets, personal computers, smart televisions and other connected media devices. The business also offered professional services, systems integration, advertising functions and operator applications. The business was associated with several legal and reputational controversies dating from its NDS period. These included disputes involving Canal Plus and EchoStar over alleged compromise or distribution of pay-TV security information, as well as later media allegations concerning the hacking of rival platforms. The legal outcomes varied: some claims were withdrawn or rejected, while the EchoStar litigation produced a complex series of jury, appellate and settlement proceedings. The allegations were denied by NDS and News Corporation. In 2018 Cisco sold the former NDS video and security operations to Permira. The buyer relaunched the business under the Synamedia name, ending Cisco Videoscape's existence as the operating identity of that business while preserving continuity in its pay-TV software heritage.
