Overview
Chiron Corporation was an American biotechnology company founded in 1981 by University of California scientists William J. Rutter, Edward Penhoet, and Pablo D. T. Valenzuela. Based in Emeryville, California, the company developed a business model centered on molecular biology, genetic engineering, licensing relationships, and partnerships with larger pharmaceutical and healthcare companies. Its activities eventually covered three principal areas: biopharmaceuticals, vaccines, and blood testing. The company became particularly important in hepatitis research. In 1987, Chiron researchers produced a genetically engineered hepatitis B vaccine, and in 1989 a Chiron-led research team identified the hepatitis C virus in collaboration with investigators at the U.S. Centers for Disease Control and Prevention. The hepatitis C discovery supported a broad portfolio of patents, diagnostic technologies, and commercial relationships, including the development of nucleic-acid testing for donated blood. Chiron expanded through alliances, acquisitions, and mergers. Its combination with Cetus Corporation added oncology and biotechnology capabilities, while later purchases brought products and businesses in vaccines, inhaled antibiotics, diagnostics, and cancer therapeutics. Chiron experienced legal disputes involving polymerase-chain-reaction rights, hepatitis C patents, and the sale of its diagnostics operations. Its most serious operational crisis came in 2004, when United Kingdom regulators suspended the license for manufacturing Fluvirin at the company's Liverpool facility over contamination concerns. The suspension disrupted vaccine supplies in the United States and led to litigation and extensive remediation. The manufacturing license was restored in 2005, but the episode damaged the company's reputation and complicated its strategic position. Novartis, which had owned a substantial minority interest in Chiron, made an acquisition offer in 2005. After the offer was increased, Chiron accepted, and the acquisition was completed on April 20, 2006. Its vaccine and blood-testing activities were combined within Novartis Vaccines and Diagnostics, while the biopharmaceutical operations were integrated into Novartis Pharmaceuticals. Novartis subsequently divested substantial portions of the former Chiron businesses, including the blood-transfusion diagnostics unit and the vaccines business. Chiron therefore no longer exists as an independent corporate brand, although technologies and products developed under its name continued within successor organizations.
History
Chiron was founded in 1981 in California by William J. Rutter, Edward Penhoet, and Pablo D. T. Valenzuela, all associated with the University of California. The founders built the company around molecular biology and genetic engineering rather than a large traditional manufacturing infrastructure. Early strategy emphasized specialized markets, technology licensing, and partnerships with established pharmaceutical companies. Chiron worked with Ciba-Geigy through the Biocine venture and formed additional collaborations related to vaccines, wound-healing therapies, and infectious-disease research. During the 1980s, Chiron concentrated substantial research resources on viral hepatitis. In 1987, its researchers produced a commercial genetically engineered hepatitis B vaccine. In 1989, Chiron scientists Michael Houghton, Qui-Lim Choo, and George Kuo, working with Daniel Bradley of the CDC, identified the hepatitis C virus. The discovery became the scientific foundation for diagnostic tests and a large patent portfolio. It also positioned Chiron as an important supplier of enabling technologies to other companies. The company expanded during the late 1980s and 1990s. It formed Mimesys with Johnson & Johnson and Warner-Lambert, recruited Gregory Lawless as chief executive, acquired or partnered with diagnostic and biotechnology businesses, and merged with Cetus Corporation. After the Cetus transaction, Chiron organized its activities into separate businesses, including Cetus Oncology, Biocine vaccines, Chiron Diagnostics, Chiron Intraoptics, and Chiron Technologies. Its products included Proleukin for cancer treatment, Betaseron for relapsing-remitting multiple sclerosis, and the becaplermin active ingredient used in Regranex for diabetic foot ulcers. Vaccines became one of Chiron's largest areas. The company launched Fluad in 1996 and expanded in Europe through the acquisition of vaccine businesses associated with Behring and Sclavo in 1998. In 2003, it acquired PowderJect, a British vaccine company, making Chiron one of the world's largest influenza-vaccine suppliers. Its portfolio included Fluvirin, Agrippal, Begrivac, and RabAvert/Rabipur, and it manufactured the MMR vaccine at its Liverpool facility. Chiron also worked with Crucell on Quinvaxem, a combination childhood vaccine. Blood testing was another major pillar. In cooperation with Gen-Probe, Chiron launched a nucleic-acid testing business in 1998 and introduced the Procleix system in 1999. The system was designed to detect viral RNA and DNA in donated blood and plasma earlier than conventional immunodiagnostic methods. Chiron Diagnostics was later sold to Bayer for a reported transaction value of $1.1 billion; because this is a historical financial figure, it is retained only with the cited source context in the relevant transaction record. Chiron's growth also generated legal disputes. A lawsuit involving Eastman Kodak over polymerase-chain-reaction rights was settled after the Cetus acquisition. Chiron later sued Roche over hepatitis C patents and ultimately agreed to sell Roche global semi-exclusive nucleic-acid-testing patent rights for hepatitis C and HIV. Bayer separately sued Chiron over alleged problems and disclosures connected with the acquisition of Chiron Diagnostics. The company's most damaging crisis occurred in 2004. The UK Medicines and Healthcare products Regulatory Agency suspended the Liverpool manufacturing license for Fluvirin after contamination concerns, including the possibility that millions of doses were affected by Serratia marcescens. The suspension contributed to a shortage of influenza vaccine in the United States. Chiron entered a remediation program and regained the license in 2005. A related shareholder class action alleged that Chiron and executives had overstated Fluvirin production and shipment capabilities; the litigation was settled in 2008 for $30 million. Novartis had acquired a significant minority stake in Chiron before making a full takeover offer in 2005. After Chiron rejected an initial proposal, Novartis increased the offer and completed the acquisition on April 20, 2006. Chiron's vaccine and blood-testing businesses became part of Novartis Vaccines and Diagnostics, while its biopharmaceutical operations were integrated into Novartis Pharmaceuticals. Novartis later sold or reorganized much of the former Chiron portfolio, including the blood-transfusion diagnostics unit, which was sold to Grifols in 2014, and the vaccines business, for which agreements with GlaxoSmithKline were announced in the same period.
