Overview
Brookfield Renewable Partners L.P. is a publicly traded limited partnership that owns, operates and develops renewable-energy and sustainable-infrastructure assets. Its corporate headquarters are in Toronto, Ontario, and its portfolio has historically included hydroelectric generating stations, onshore wind farms, solar-power facilities, distributed-generation platforms and interests connected with nuclear-energy infrastructure. The partnership operates through a global platform, with assets and investments across North and South America and Europe. The business was created in 2011 when Brookfield Asset Management combined the hydroelectric stations and wind farms held by the Brookfield Renewable Power Fund with renewable-power assets held by Brookfield Renewable Power Inc. The resulting entity was initially named Brookfield Renewable Energy Partners, LP. Brookfield Asset Management owned approximately 73% of the combined entity at the closing of the transaction, and the partnership became Brookfield’s principal publicly traded vehicle for acquiring and operating renewable-energy assets. The partnership trades under BEP-UN on the Toronto Stock Exchange and BEP on the New York Stock Exchange. Brookfield Renewable’s roots extend further back through the Great Lakes Hydro Income Fund. That fund completed an initial public offering on the Toronto Stock Exchange in 1999, when it was known as Great Lakes Hydro Income Fund and was majority owned by Brookfield’s predecessor organizations. Its initial portfolio comprised three hydroelectric facilities in western Quebec with combined capacity of 238 megawatts. By the end of 2008, the fund had expanded to 27 hydroelectric facilities and one wind farm, with approximately 1,021 megawatts of cumulative capacity across Ontario, Quebec, British Columbia and New England. The fund adopted the Brookfield Renewable Power Fund name in 2009. Following its formation, Brookfield Renewable expanded through both development and acquisitions. In 2012 it opened the 165.6-megawatt Comber wind farm in Essex County, Ontario, and acquired four hydroelectric power plants in the southeastern United States with investment partners. In 2014 it entered the European wind market through the acquisition of an Irish wind-power portfolio. In 2016 it and its partners acquired a majority interest in Isagen, a Colombian power company operating the country’s largest hydropower plant at the time; Brookfield subsequently increased its interest to almost 100%. The partnership changed its name from Brookfield Renewable Energy Partners L.P. to Brookfield Renewable Partners L.P. on May 10, 2016. It continued to use the same stock symbol and CUSIP. In 2017 Brookfield Renewable announced transactions to acquire a controlling interest in TerraForm Power and all of TerraForm Global, together representing a global renewable-power portfolio of approximately 3,600 megawatts. The TerraForm transactions closed in December 2017, and Brookfield later announced plans to acquire the remaining stake in TerraForm Power. Brookfield Renewable also broadened its technology mix. In December 2020, it and institutional partners acquired a distributed-generation solar platform from Exelon with more than one gigawatt of capacity. In 2022, Brookfield Renewable and Cameco announced an agreement to acquire Westinghouse Electric Company from Brookfield Business Partners. The transaction, valued at approximately US$7.9 billion including debt, gave Brookfield Renewable a planned 51% interest and added nuclear-services and technology exposure to its renewable-infrastructure portfolio. The Westinghouse acquisition was completed in November 2023. The brand’s business model combines long-duration ownership, operational management, development, acquisitions and partnerships. Its historical identity has been anchored in hydroelectric power, while its portfolio has increasingly included wind, utility-scale and distributed solar, storage-related opportuniti…
History
Brookfield Renewable Partners emerged from a long-running Brookfield presence in electric utilities and renewable-power infrastructure. Brookfield Asset Management traces part of its operating heritage to electrical and tramway projects developed in Brazil in the 1890s. In the renewable-power sector, the more direct predecessor was the Great Lakes Hydro Income Fund, which held hydroelectric assets in Canada and the northeastern United States. The Great Lakes Hydro Income Fund completed its initial public offering on the Toronto Stock Exchange in 1999. At that time, Brookfield’s predecessor organization, then known as EdperBrascan, held 61% of the fund’s outstanding units through various subsidiaries. The fund initially owned three hydroelectric facilities in western Quebec with combined capacity of 238 megawatts. Through subsequent acquisitions and development, it expanded to 27 hydroelectric facilities and one wind farm by the end of 2008, reaching approximately 1,021 megawatts across Ontario, Quebec, British Columbia and New England. The fund changed its name to Brookfield Renewable Power Fund in 2009. Brookfield also held renewable-energy assets outside the fund through Brookfield Renewable Power Inc., a wholly owned subsidiary with a 50.01% interest in the Brookfield Renewable Power Fund. The subsidiary served as the vehicle for renewable assets held directly by Brookfield Asset Management, while the fund’s portfolio was concentrated in its established North American operating jurisdictions. This two-part structure was reorganized in 2011. On September 13, 2011, Brookfield Asset Management and the Brookfield Renewable Power Fund announced their intention to combine the fund with the renewable-power assets owned by Brookfield Renewable Power Inc. The transaction closed on November 30, 2011, creating Brookfield Renewable Energy Partners, LP. Brookfield Asset Management held approximately 73% of the combined entity at closing. The new partnership was designed to serve as Brookfield’s main publicly traded platform for acquiring, developing and operating renewable-energy assets, initially spanning Canada, the United States and Brazil. The partnership pursued both organic development and acquisitions. In 2012 it opened the 165.6-megawatt Comber wind farm in Essex County, Ontario. It also joined investment partners in acquiring four hydroelectric power plants in the southeastern United States from Alcoa. In 2014, the partnership and its partners purchased a portfolio of Irish wind assets, extending its operating footprint into Europe. In 2016, Brookfield Renewable and its investment partners acquired a majority stake in Isagen, a Colombian electricity company whose portfolio included the country’s largest hydropower plant. Brookfield later increased its interest in Isagen to almost 100%. That same year, on May 10, the partnership changed its name from Brookfield Renewable Energy Partners L.P. to Brookfield Renewable Partners L.P.; its stock symbol and CUSIP were retained. A major expansion followed in 2017, when Brookfield Renewable announced transactions involving TerraForm Power and TerraForm Global. The planned transactions represented approximately 3,600 megawatts of renewable-power assets across multiple markets. The transactions closed in December 2017. In March 2020, Brookfield Renewable announced that it would acquire the remaining interest in TerraForm Power, with completion expected in the third quarter of that year. The partnership continued diversifying its technology base in 2020. On December 14, Brookfield Renewable and institutional partners acquired a distributed-generation solar platform from Exelon with more than one gigawatt of capacity. The transaction expanded Brookfield Renewable’s exposure beyond large centralized hydroelectric and wind facilities into smaller, distributed solar installations. In October 2022, Brookfield Renewable and Cameco announced the acquisition of Westinghouse Electric Company from Brookfield Business Partners. The transaction, valued at approximately US$7.9 billion including debt, represented a strategic move into nuclear-energy services, technology and infrastructure alongside the partnership’s renewable-power activities. The acquisition closed in November 2023, with Brookfield Renewable owning a 51% interest in Westinghouse as part of the completed structure. Brookfield Renewable Partners now represents Brookfield’s listed renewable-power platform. Its historical base remains hydroelectric generation, but its business scope has broadened to include wind, solar, distributed generation, sustainable infrastructure and nuclear-related services through Westinghouse. The partnership’s operating model emphasizes long-term asset ownership, development, acquisitions, partnerships and active management of energy infrastructure in multiple countries.
