Overview
Bolsas y Mercados Españoles, commonly known as BME or BME Group, is the Spanish company responsible for organizing and operating major parts of Spain’s securities-market infrastructure. Rather than being a consumer-facing financial brand, BME is a market-structure institution whose activities support the issuance, trading, clearing, settlement and administration of financial instruments. The group owns the stock exchanges of Madrid, Barcelona, Valencia and Bilbao. These venues form the core of Spain’s regulated equity-market infrastructure and provide marketplaces for listed securities and other financial instruments. BME also operates Latibex, an international market focused on Latin American securities traded in euros, thereby linking European investors with companies and instruments from Latin America. BME’s business extends beyond exchange trading. Through BME Clearing, it operates a central counterparty clearing house that stands between buyers and sellers in eligible transactions and supports the management of counterparty risk. Through Iberclear, it operates Spain’s central securities depository. Iberclear was created in 2003 through the combination of the Bank of Spain’s book-entry system for public debt, known as CADE, and the stock exchange’s Securities Clearing and Settlement Service, known as SCLV. This combination brought important post-trade functions into a more integrated institutional framework. The group has also developed and held interests in technology and international market infrastructure. Openfinance, a BME company, provides technology for wealth-management activities. BME has held a participation in Colombia’s Cámara de Riesgo Central de Contraparte and in the Mexican Stock Exchange, giving the group connections beyond the Spanish market. BME became a publicly listed company on 14 July 2006. It was included in Spain’s IBEX 35 index from July 2007 until December 2015. Its independent public-company period positioned it as one of Europe’s exchange operators, although its scale was smaller than that of the largest pan-European exchange groups. In 2020, SIX Group, the owner of the Swiss stock exchange, completed its acquisition of BME. The transaction changed BME from an independently listed Spanish exchange group into a company within the broader SIX financial-market-infrastructure group. History
Bolsas y Mercados Españoles was established as the corporate organization for the Spanish securities exchanges and related financial markets. Its operating scope covers the exchanges of Madrid, Barcelona, Valencia and Bilbao, as well as additional trading, post-trade and technology businesses. The group’s role is institutional: it supplies the venues and infrastructure through which securities can be listed, traded, cleared, settled and administered. A significant part of BME’s structure is the integration of exchange and post-trade functions. BME Clearing operates as a central counterparty clearing house, while Iberclear serves as Spain’s central securities depository. Iberclear was formed in 2003 through the merger of the Bank of Spain’s CADE book-entry system for public debt and the stock exchange’s SCLV securities clearing and settlement service. The merger consolidated important settlement functions within the Spanish market infrastructure. BME’s market portfolio is not limited to domestic equity trading. It owns and operates Latibex, an international market for Latin American securities denominated and traded in euros. It has also been associated with financial-technology activities through Openfinance, which provides technology for wealth-management businesses. The company entered a new phase when it became publicly traded on 14 July 2006. Its listing made the Spanish exchange operator itself an investable public company. During its independent listed-company period, BME was one of Europe’s exchange groups, though its market capitalization was smaller than that of larger pan-European operators. The decisive ownership change came in 2020, when SIX Group completed the purchase of BME.
