Overview

Banco Sabadell, legally Banco de Sabadell, S.A., is a Spanish multinational financial-services group whose origins lie in the industrial city of Sabadell in Catalonia. It was established on 31 December 1881 by 127 local entrepreneurs and merchants associated with the Gremi de Fabricants de Sabadell. The founders wanted a financial institution capable of supporting the region's wool and manufacturing industries through payments, working-capital credit and the financing of imported raw materials such as wool and coal. This industrial orientation helped shape the bank's later emphasis on small and medium-sized enterprises, commercial banking and international trade. The institution initially combined banking with activities connected to commerce and industry, including raw-material transactions, machinery imports and electrical installations. In 1907 it withdrew from these non-banking activities and concentrated on commercial banking. During the middle decades of the twentieth century, Banco Sabadell protected its independence through a shareholder syndication agreement and began extending its branch network beyond Sabadell. Its first branch outside the city opened in Sant Cugat del Vallès in 1965, followed by expansion into other Catalan municipalities and Barcelona. National and international growth accelerated from the late 1970s. The bank opened its first branch outside Catalonia in Madrid in 1977 and established a London branch in 1978, creating an early platform for serving companies involved in cross-border commerce. A Paris branch followed in 1987. Banco Sabadell also became an early adopter of remote and digital banking in Spain: Fonobanc was introduced in 1986, Infobanc in 1988 and BancSabadellNet in 1998. In 2023, the group consolidated digital product development, software innovation and cybersecurity activities under Sabadell Digital. The bank's transformation into a broader Spanish banking group was particularly visible from the 1990s onward. Under chairman Josep Oliu i Creus, the group pursued acquisitions and a multi-brand strategy. It acquired NatWest España, Banco Herrero, Banco Atlántico, Banco Urquijo, Banco Guipuzcoano, Banco Gallego and Caja de Ahorros del Mediterráneo, commonly known as CAM. The CAM transaction, completed in 2012 after Banco Sabadell was selected as winning bidder, substantially expanded its presence in eastern and southeastern Spain. The group also developed operations in the United States, Mexico, Andorra and other international markets. Banco Sabadell became publicly traded in 2001 and entered the IBEX 35 in 2004. Its most significant overseas acquisition was TSB Banking Group in the United Kingdom in 2015. TSB gave the group a large retail-banking platform outside Spain, although the integration was accompanied by operational and technology difficulties. Banco Sabadell later focused on strengthening its balance sheet, improving efficiency, modernizing its digital infrastructure and concentrating on profitable customer segments. The 2017 political crisis surrounding Catalonia's independence referendum led the group to move its registered corporate headquarters from Sabadell to Alicante under an expedited relocation framework. The move was presented as a measure to preserve legal certainty and customer confidence, while the bank continued to retain its historic identity and Catalan origins. In the 2020s, Banco Sabadell remained a significant Spanish banking group, supervised directly by the European Central Bank as a significant institution within European Banking Supervision. Its activities cover retail and business banking, corporate finance, private banking, asset management, consumer finance, insurance distribution and selected international banking services. Banco Sabadell's strategic position combines a broad domestic branch and digital network with specialist capabilities in SME finance, corporate banking, affluent-client services and trade-related banking. History

Banco Sabadell was created in an industrial setting. In the late nineteenth century, Sabadell was one of Spain's important textile centers, with local manufacturers requiring credit for raw materials, payments and commercial expansion. Existing savings institutions did not provide the type of short-term industrial and international finance needed by these businesses. On 31 December 1881, 127 entrepreneurs and merchants founded Banco Sabadell with the support of the local manufacturers' guild. The bank initially operated from premises associated with the guild and financed the purchase of wool, coal and other industrial inputs. The early institution was not limited to conventional banking. It participated in raw-material trading, machinery imports and electrical-installation projects. In 1907 it abandoned these ancillary activities and adopted a more focused commercial-banking model. This specialization allowed it to develop long-term relationships with companies in the surrounding industrial economy. A major phase of institutional consolidation followed in the mid-twentieth century. In 1953, shareholders entered into an agreement limiting individual holdings and helping preserve the bank's independence. In 1954 the bank opened a purpose-built branch at Plaça de Sant Roc in Sabadell. Beginning in 1965, it expanded to nearby Catalan towns, reached Barcelona by 1970 and moved beyond Catalonia with a Madrid branch in 1977. Its first foreign branch opened in London in 1978, followed by Paris in 1987. Technology became an important part of the bank's identity. Fonobanc introduced telephone banking in 1986, while Infobanc provided computer-based banking services from 1988. BancSabadellNet, launched in 1998, extended the institution's digital proposition before online banking became standard across the Spanish market. From the 1990s, Banco Sabadell pursued a more ambitious group-building strategy. It acquired NatWest España in 1996, Banco Herrero in 2000, Banco Atlántico in 2004 and Banco Urquijo in 2006. The bank floated on the Madrid stock market in 2001 and joined the IBEX 35 in 2004. Further transactions included the purchase of TransAtlantic Bank, Mellon United National Bank, Banco Guipuzcoano, Banco Gallego and several US private and commercial banking businesses. In 2012, it acquired CAM after being selected as the winning bidder, strengthening its position in Valencia, Murcia and surrounding markets. The group also expanded through branded subsidiaries. It acquired Lloyds Banking Group's Spanish retail and private-banking operations in 2013, later operating the business under the Sabadell Solbank name, and began independent operations in Mexico in 2014. In 2015 it acquired TSB Banking Group, a major UK retail bank. TSB became a central international asset but its systems migration generated substantial operational problems and reputational pressure, leading Banco Sabadell to focus on remediation and operational improvement. In October 2017, following political uncertainty linked to Catalonia's independence referendum, Banco Sabadell transferred its registered headquarters to Alicante. The move was designed to ensure continuity under Spanish and European legal frameworks and to protect customer confidence. The bank continued to operate as a Spanish listed group with strong Catalan historical roots. During the 2020s, Banco Sabadell emphasized capital strength, cost control, digital delivery and targeted growth in business and affluent-client segments. It became a significant institution directly supervised by the European Central Bank. The group also reorganized its technology agenda through Sabadell Digital. In 2024, Banco Sabadell resisted a takeover proposal from BBVA, preserving its status as an independent listed banking group while the proposed transaction underwent regulatory and political debate.
