Overview
ANSA McAL is one of Trinidad and Tobago's major diversified business groups. Its origins are commonly traced to Geo. R. Alston & Co., established in 1881 by George R. Alston as a cocoa-buying and export business. Over more than a century, the enterprise expanded from commodity trading into importing, shipping services, ship chandlery, cargo handling, hardware, manufacturing distribution, insurance, automotive representation, financial services, media and other commercial activities. The present group emerged through a series of combinations and changes in control involving Alston & Company, Charles McEnearney & Co., McEnearney Alstons Limited and Angostura Limited. The 1969 merger of Alston and McEnearney interests created the basis for the McAL organization. After the group acquired and integrated additional businesses, it became known as McEnearney Alstons Limited. In 1986, Angostura acquired a majority interest in McAL following a contested period of offers, and the combined organization adopted the ANSA McAL name. The Sabga family subsequently became associated with ownership and control of the group, with Anthony Norman Sabga taking the chairmanship in 1987. ANSA McAL's portfolio has included financial and insurance services, vehicle distribution and dealerships, beverages, paints and other manufactured goods, media, trading, logistics, property and related services. Its businesses have operated principally in Trinidad and Tobago and other Caribbean markets, with corporate and procurement links extending to North America and Europe. The group has also been associated with important local institutions, including Trinidad and Tobago Insurance Limited, the Trinidad Guardian and businesses connected with Angostura. The company is not a single-category consumer brand. It functions as a corporate holding and operating group whose individual subsidiaries and divisions address different customer groups, from households and motorists to commercial, industrial and institutional clients. The composition of the portfolio has changed over time through mergers, acquisitions, disposals and reorganizations. A notable example was the 2004 transfer of TATIL and TATIL Life to ANSA Finance and Merchant Bank, a transaction reported at TT$667 million in contemporary reference material. Because operating-company boundaries and ownership arrangements can change, individual businesses should be checked against current company disclosures rather than inferred solely from the group name. ANSA McAL is traded on the Trinidad and Tobago Stock Exchange under the symbol AMCL. Its enduring positioning is that of a locally rooted Caribbean conglomerate with a broad operating footprint, significant historical depth and exposure to several sectors of the regional economy.
History
ANSA McAL's history begins with Geo. R. Alston & Co., founded in 1881 by George R. Alston in Trinidad. The original business specialized in purchasing and exporting cocoa. After Alston's departure from Trinidad in 1890, business relationships involving McGregor Frame and London agents helped maintain the company's trading connections. The organization later broadened its commercial base: a sawmill and lumber and hardware operation were established in 1904, while the company developed importing, exporting and agency activities. During the 1910s, Alston expanded into ship chandlery, cargo handling and steamship agency work. In 1914 it acquired the Trinidad Coaling Company, supplying coal to steamships at a time when marine transport still relied heavily on coal. From 1914 to 1920, the business also handled cocoa and sugar exports through Port of Spain. In 1921, Geo. R. Alston & Co. was incorporated as Alston and Company Limited. The company continued to develop its trading and distribution activities, including operations in San Fernando under an agreement with C. Tennant Sons in 1935. After the Second World War, Alston created a sales agency department to distribute goods made by its manufacturing subsidiaries and other represented businesses. The company later withdrew from wholesale provisions and transferred its electrical department to General Electric. Its regional development included the establishment of ANSA Barbados in 1959. In 1963, Trinidad and Tobago Insurance Limited was established in Port of Spain to provide fire, marine, motor and accident insurance. Several companies were subsequently combined into Alston Marketing Co. Limited, or AMCO. The group's modern identity took shape through its relationship with Charles McEnearney & Co. The McEnearney business-machine department became a separate company, McEnearney Business Machines Limited, and in 1969 a takeover process concluded with the merger of Alston and McEnearney interests. In 1971, Alston's shipping and travel activities were placed in Alston Shipping and Travels Limited. Construction of the Tatil Building in Port of Spain began in 1972 and was completed in 1974. The twelve-storey building became associated with Trinidad and Tobago Insurance Limited and remains an important physical marker of the group's history. Alston also entered the media sector. In 1972 it acquired a 66.9 percent interest in Trinidad Publishing Company, publisher of the Trinidad Guardian. The McEnearney organization continued to develop under Conrad O'Brien, who became chairman of Charles McEnearney & Co. in 1975. Following the acquisition of minority interests, Charles McEnearney & Co. changed its name to McEnearney Alstons Limited, commonly shortened to McAL, formalizing the union of the two business traditions. McAL expanded further in the late 1970s. It acquired a controlling interest in Penta Paints Caribbean in 1977 and all shares in J. T. Allum's Supermarket in 1978. A fire destroyed the Trinidad Guardian premises in 1980, and the newspaper resumed operations in 1984. In 1986, Angostura and ABL made offers for McAL after an earlier unsuccessful offer by Jessel Securities. Angostura's offer resulted in majority ownership and the creation of the ANSA McAL identity. Anthony Norman Sabga became chairman in 1987, linking the group's later development with the Sabga family. The group continued diversifying in the 1990s. Classic Motors was formed in 1992 as a representative of Honda, and ANSA McAL (US) Inc. was established in Miami to support worldwide procurement and logistics. Fleming ANSA Merchant Bank was established in 1994. In 1998, ANSA McAL acquired Trinidad Broadcasting Corporation, extending its media interests beyond newspaper publishing. The chairmanship later passed from Anthony Norman Sabga to A. Norman Sabga. A significant portfolio transaction occurred in 2004, when ANSA Finance and Merchant Bank acquired TATIL and TATIL Life from ANSA McAL for a reported TT$667 million. This illustrates the group's continuing use of internal restructuring and business transfers to adjust its portfolio. ANSA McAL remains a diversified Trinidad and Tobago-based group with Caribbean operations and a listing on the Trinidad and Tobago Stock Exchange.
