AmRest Holdings SE is a Spain-headquartered multinational restaurant operator whose business combines franchised global brands with concepts developed or controlled by the group. The company traces its origins to 1993, when American Restaurants Services was established to operate Pizza Hut and KFC restaurants in western Poland. From that starting point, AmRest developed into one of Central and Eastern Europe's largest multi-brand restaurant platforms, expanding through franchise agreements, acquisitions, joint ventures, restaurant development and portfolio restructuring. History
AmRest began in 1993 as American Restaurants Services, founded by Henry J. McGovern, Donald M. Kendall Sr., Donald M. Kendall Jr. and Christian R. Eisenbeiss. Its initial activity was the operation of Pizza Hut and KFC restaurants in western Poland. In 1998, the business expanded beyond Poland by taking over KFC and Pizza Hut locations in the Czech Republic that had previously been operated by Yum! Brands. In 2000, AmRest Holdings was formed as a joint venture between American Restaurants and Yum! Brands. The following year, the new company acquired International Fast Food Polska, which operated Burger King restaurants in Poland. Of the 23 Burger King restaurants acquired, six were closed and the remaining 17 were converted to KFC locations. In 2005, AmRest acquired the remaining Yum! franchise rights in Poland and the Czech Republic, becoming the exclusive KFC and Pizza Hut franchisee in those countries. It also entered the public markets on the Warsaw Stock Exchange that year and Yum! ceased to be a shareholder. The company continued to broaden its network during the second half of the 2000s. In 2006 it acquired rights to 17 KFC and Pizza Hut restaurants in Hungary and introduced the Freshpoint and Rodeo Drive concepts. In 2007 it opened KFC restaurants in Serbia and Bulgaria, returned to Burger King development in Poland and signed agreements to develop Starbucks in Poland, the Czech Republic and Hungary. The first AmRest-operated Starbucks stores opened in Prague in 2008 and in Poland during the same year. AmRest also agreed to develop Burger King in Bulgaria and acquired restaurants in Russia. In 2008, AmRest purchased an 80% interest in Apple Grove Holding, then the second-largest Applebee's franchisee in the United States. The group later sold AmRest LLC, which operated 102 Applebee's restaurants, to American Apple Group in June 2012. In 2010, private-equity firm Warburg Pincus proposed an investment of more than 300 million Polish złoty for a 24.99% stake, while AmRest continued expanding Starbucks in Hungary. A major portfolio expansion occurred in 2011, when AmRest acquired Spanish company Restauravia. The transaction added 30 KFC restaurants and more than 120 La Tagliatella Italian casual-dining restaurants. La Tagliatella became an important proprietary growth platform, although attempts to expand it outside Spain encountered difficulties. Restaurants opened in China, India and the United States subsequently closed, and the French subsidiary recorded persistent losses during the period described in public accounts. AmRest acquired the Blue Frog and Kabba restaurant brands in China in 2012. It enlarged its Starbucks presence by acquiring the coffee shops operated by Marinopoulos Coffee in Romania and Bulgaria in 2015, followed by the purchase of 144 Starbucks stores in Germany in 2016. The company moved its headquarters from Poland to Madrid in 2017 and acquired the French Sushi Shop chain in 2018. It also resumed Burger King development in Slovakia in 2018 and opened the first Starbucks café in Serbia in 2019. Burger King returned to Romania in 2019 after a seven-year interruption, apart from an airport location. AmRest's portfolio subsequently underwent significant strategic change. Burger King terminated its franchise contract on 1 February 2022, preventing further development by AmRest in Poland, the Czech Republic, Slovakia, Romania and Bulgaria. In response to the war in Ukraine, AmRest suspended its Russian operations in March 2022. In 2023, it sold its Russian KFC business to Smart Service, the local franchise holder. The company's present identity remains that of a publicly listed, multi-brand restaurant operator whose country footprint and brand rights are shaped by franchise agreements, acquisitions, disposals and market exits.
