Overview
Tiscali Italia is an Italian telecommunications and internet-services business operating under the Tiscali brand. It was established in 1999 as the Italian subsidiary of Tiscali, the Sardinian telecommunications group created in Cagliari in 1998 after the deregulation of Italy’s telephone system. The brand became associated with internet access, telephony and digital services in Italy, initially helping broaden consumer access to the internet through low-cost and subscription-free dial-up offers. Its early growth was closely connected to the transformation of the Italian communications market. From March 1999, Tiscali offered Tiscali Free Net, an internet service for which customers paid according to connection time rather than a recurring access subscription. The model placed competitive pressure on established Italian internet providers and contributed to the reduction of fixed subscription charges for dial-up access. Tiscali subsequently expanded its consumer portfolio beyond dial-up into broadband internet and fixed-line telephone services. Tiscali Italia also participated in the group’s experimentation with adjacent digital services. In the late 2000s it offered Tiscali TV, an IPTV service available in a number of Italian cities, including Bologna, Cagliari, Florence, Genoa, Milan, Naples, Palermo, Rome, Turin and Trieste. The Italian IPTV service was discontinued at the end of 2008. The wider Tiscali organization also operated web portals, email and other online services, although the scope and availability of individual offerings changed over time. The business remained part of a broader corporate restructuring as Tiscali withdrew from many international markets and concentrated on Italy and the United Kingdom. In Italy, the group later expanded its fixed-wireless position through the merger with Aria, an Italian WiMAX provider, completed in 2016. This helped complement conventional broadband services with wireless connectivity capabilities. A major ownership and operating change took place in 2022. Tiscali S.p.A. integrated Linkem Retail S.r.l., the retail arm associated with Linkem, following approvals by the relevant shareholder meetings and completion of the merger on 1 August 2022. The retail operations were transferred to Tiscali Italia S.p.A., while Linkem S.p.A., subsequently renamed OpNet S.p.A., became the majority shareholder of the listed parent, Tiscali S.p.A. The transaction brought the Linkem retail business and brand into the group’s consumer-services structure. The parent company adopted the name Tessellis S.p.A. in January 2023, while continuing to operate commercial services under the Tiscali and Linkem brands. Tiscali Italia therefore functions as the Italian operating and commercial vehicle for Tiscali-branded telecommunications services rather than as a separately listed company. Following the 2024 sale of OpNet and related assets to Wind Tre, excluding Tessellis, the Tiscali brand continued within Tessellis’ Italian portfolio. Its principal market remains Italy, with services centered on internet access, broadband connectivity, fixed communications and related consumer telecommunications offerings.
History
Tiscali Italia was founded in 1999 as the Italian subsidiary of Tiscali, a telecommunications group established in Cagliari in January 1998 by Renato Soru. The parent company took its name from Mount Tiscali in Sardinia, a site associated with the remains of an ancient settlement. Its creation followed the deregulation of Italy’s telephone system and coincided with the rapid expansion of consumer internet access. The subsidiary’s early identity was shaped by Tiscali Free Net, introduced in March 1999. Unlike many competing offers that charged a recurring subscription, the service allowed users to access the internet without a fixed subscription and pay for the time spent online. This pricing model helped intensify competition among Italian internet providers and was associated with the wider removal or reduction of fixed access charges. Tiscali Italia later developed a broader communications portfolio encompassing dial-up and broadband internet, telephone services and other online products. During the 2000s, Tiscali’s parent company expanded across Europe through acquisitions of smaller internet service providers, but it later sold or closed many of those operations and focused increasingly on Italy and the United Kingdom. Tiscali Italia briefly operated Tiscali TV, an IPTV product available in several major Italian cities between 2007 and 2008. The service was shut down in Italy on 31 December 2008. The group also developed online portals, webmail and related digital services, and operated a mobile virtual network offering in Italy under the Tiscali Mobile name from 2009. The Italian business gained additional wireless capabilities through Tiscali’s merger with Aria S.p.A., an Italian WiMAX provider. That merger was completed by February 2016. The company subsequently became part of a larger restructuring involving Linkem. On 30 December 2021, Tiscali and Linkem approved a plan to merge Linkem Retail S.r.l. into Tiscali. Their shareholder meetings approved the transaction on 27 April 2022, and completion followed on 1 August 2022. The 2022 transaction transferred Linkem’s retail branch to Tiscali Italia and made Linkem S.p.A. the majority shareholder of Tiscali S.p.A. with a reported 58.60% holding. Linkem later became OpNet S.p.A. In January 2023, the listed parent changed its name to Tessellis S.p.A., but continued to market services through both the Tiscali and Linkem brands. Tiscali Italia consequently remained the operating entity associated with Tiscali-branded retail telecommunications services in Italy. In 2024, Wind Tre agreed to acquire OpNet and its assets, including network infrastructure, together with its subsidiaries, while excluding Tessellis. The transaction was completed on 1 August 2024. Tiscali Italia therefore remained within the Tessellis structure, continuing the Tiscali commercial presence in Italy. Its historical development reflects the transition from dial-up internet pioneer to a broader broadband and telecommunications provider, followed by consolidation in Italy’s competitive communications market.
