Scripps Networks Interactive, Inc. was an American mass-media company created on July 1, 2008, when E. W. Scripps Company separated its cable television networks and online properties into a separately traded business. The company developed a portfolio centered on factual and lifestyle programming, with its best-known assets including HGTV, Food Network, Travel Channel, DIY Network, Cooking Channel and Great American Country. Rather than competing primarily through general-interest broadcasting, Scripps built specialized networks around recurring consumer interests such as home improvement, food, cooking, travel and country music. The company’s operating roots preceded its formal creation. E. W. Scripps acquired Knoxville production company Cinetel Productions in 1994 as a base for developing a home and lifestyle cable service. That effort led to the launch of HGTV in December 1994. Scripps later acquired a stake in Food Network in 1997, launched DIY Network in 1999 and created Fine Living Network in 2002. Fine Living was subsequently repositioned as Cooking Channel in 2010. In 2004, the Scripps Networks division agreed to acquire Great American Country from Jones Radio Network, extending the portfolio into country-music television. After the 2008 spin-off, Scripps Networks Interactive expanded through acquisitions and international partnerships. Discovery Communications announced an agreement to acquire Scripps Networks Interactive on July 31, 2017, in a cash-and-stock transaction valued at approximately $14.6 billion. Regulatory approvals followed in the United States and European Union, with European conditions concerning continued third-party access to TVN news channels. The transaction closed on March 6, 2018, and Scripps Networks Interactive ceased to exist as an independent company. Its former networks became part of Discovery’s lifestyle and factual portfolio. Discovery later combined with WarnerMedia in 2022 to form Warner Bros. Discovery, the corporate successor to the acquired Scripps assets.
History
Scripps Networks Interactive originated in the cable and digital-media activities of E. W. Scripps Company. In 1994, Scripps acquired Knoxville-based Cinetel Productions to support the development of a home-oriented cable network. That initiative produced HGTV, which launched in December 1994. Scripps expanded its food portfolio by acquiring an interest in Food Network in 1997, then launched DIY Network in 1999 and Fine Living Network in 2002. Fine Living was later converted into Cooking Channel, reflecting the company’s growing emphasis on food content. In 2004, the Scripps Networks division agreed to acquire Great American Country from Jones Radio Network. On July 1, 2008, E. W. Scripps spun off its cable channels and online properties into Scripps Networks Interactive, a separate publicly traded company. It subsequently bought the remaining interests associated with ITI Group and Canal+ Group. The acquisition gave Scripps a significant general television and news presence in Poland alongside its specialist lifestyle channels. In 2017, the company added Spoon University, a digital food publisher with a younger target audience. Discovery Communications announced its purchase of Scripps Networks Interactive on July 31, 2017. The transaction, valued at approximately $14.6 billion in cash and stock, combined Discovery’s factual and lifestyle channels with Scripps’s complementary brands. The European Commission approved the deal in February 2018 with conditions intended to preserve distribution access for TVN24 and TVN24 BiS, while the U.S. Department of Justice approved it later that month. Completion occurred on March 6, 2018. Scripps Networks Interactive was then merged into Discovery Communications and no longer operated as a standalone company. Discovery later became part of Warner Bros. Discovery through its 2022 combination with WarnerMedia.
