Overview
IFD Kapital Group, formerly known as IFD Capital Financial Group, is a Russian financial holding company whose origins lie in the separation of non-core assets from the oil company LUKoil in 2003. The assets transferred into the new group included LUKoil's insurance operations and the LUKoil-Garant pension fund, together with other financial and investment businesses. Leonid Fedun, then a deputy chief executive of LUKoil, became the group's first chairman. The group's early development was therefore closely connected with the financial diversification strategy of LUKoil's senior management, although the holding was subsequently organized through investment structures whose ultimate ownership was not fully transparent in the historical sources. IFD Kapital expanded rapidly during its first years. In April 2003 it agreed to acquire the brokerage company LUKoil-Reserve-Invest, with completion reported in January 2004. In the same period it acquired Capital Investment Group, an investment business that had originated within LUKoil Reserve-Invest. In June 2004 the group acquired LUKoil's majority interest in Petrocommerce, a bank founded in 1992. Petrocommerce became the group's principal banking asset and developed a wider banking group incorporating regional and affiliated institutions, including Stavropolpromstroybank, Ukhtabank, and Petrocommerce-Ukraine. IFD Kapital sold Petrocommerce to Otkritie Financial Corporation in 2013. The holding's financial-services platform encompassed investment banking, brokerage, asset management, pension administration, insurance, and management of closed-end real-estate mutual funds. Its asset-management operations were consolidated under Group Kapital Asset Management, which comprised several management companies and was described in historical company materials as one of Russia's largest asset managers. The group also managed or administered non-state pension funds and pension-reserve businesses. Historical descriptions associated it with dozens of Russian non-governmental pension funds and with major institutional pension programs, including LUKoil-Garant and other sector-specific or corporate funds. These activities gave IFD Kapital exposure to long-term savings, mandatory pension insurance, insurance reserves, and institutional investment assets. Beyond finance, IFD Kapital operated through a diversified structure with four broad areas: asset management, the Petrocommerce banking group, media and information technology, and real estate. The Russian Media Group formed the media arm and operated music radio and television properties including Russkoe Radio, Monte Carlo, Hit FM, DFM, Radio Maximum, and RU.TV. The group also controlled the digital music and video portal muz.ru during the period covered by historical sources, although that portal was later described as defunct. The real-estate portfolio included Class A office buildings in Moscow, a sports facility in the Sokolniki area, and hotel complexes in Russia and Ukraine. The group was also associated with construction of a stadium for Spartak Moscow. This combination of financial, media, and property assets made IFD Kapital closer to a diversified private investment holding than to a narrowly focused bank or insurance brand. Historical financial descriptions placed the group among Russia's larger companies by revenue and reported assets exceeding US$14.7 billion and shareholders' funds of approximately US$7.5 billion in 2012. Those figures are historical and should not be treated as current measures. In 2013, the group was described as having a top domestic credit rating from a Russian rating agency. The available reference material does not establish the group's current operating status, ownership, website, or an up-to-date corporate structure. In June 2017, the United States sanctioned IFD Kapital Group after it took ownership of the Riviera Sunrise hotel complex in Crimea.
History
IFD Kapital Group emerged in early 2003 from a restructuring of LUKoil's non-oil assets. The assets contributed to the new holding included LUKoil's insurance business and the LUKoil-Garant pension fund, creating an initial platform focused on insurance, pension savings, and investment services. Leonid Fedun, a LUKoil deputy chief executive, became the group's first chairman. The formation reflected an effort to separate financial and other non-core holdings from LUKoil's petroleum operations while retaining access to a substantial institutional asset base. The group pursued acquisitions soon after its creation. In April 2003 it agreed to purchase LUKoil-Reserve-Invest, a brokerage business, and the transaction was completed in January 2004. During spring 2003 it also acquired Capital Investment Group, an investment business that had previously developed within LUKoil Reserve-Invest. By 2004, historical descriptions stated that IFD Kapital was owned through the closed-end Strategic Investments fund, managed by Management-Center, although the ultimate owners were not identified in those descriptions. Igor Sherkunov, a long-term LUKoil insurance executive and LUKoil board member, was then identified as chairman. Reports in 2006 named LUKoil chief executive Vagit Alekperov and deputy chief executive Leonid Fedun among the holding's principal owners. A major expansion occurred in June 2004, when IFD Kapital acquired LUKoil's majority stake in Petrocommerce, a bank established in 1992. Under the holding, Petrocommerce became a banking group through the incorporation or association of regional and affiliated institutions, including Stavropolpromstroybank, Ukhtabank, and Petrocommerce-Ukraine. The bank was among Russia's larger banks during the 2000s and early 2010s. Its historical ratings included assessments from Moody's, Standard & Poor's, Expert RA, and Rus-Rating. IFD Kapital sold Petrocommerce to Otkritie Financial Corporation in 2013. Vladimir Rykunov became Petrocommerce's chief executive in November of that year. IFD Kapital's asset-management operations were organized under Group Kapital Asset Management, comprising Kapital Asset Management Company, Kapital Asset Management JSC, and Management Company Kapital Mutual Funds. Historical company information described the platform as one of Russia's largest asset managers, with more than 230 billion rubles under management as of September 2012 and reported assets of 132.7 billion rubles at the end of March 2013. The wider group also worked with non-governmental pension funds, mandatory pension insurance, insurance reserves, and closed-end real-estate mutual funds. Historical materials associated the group with 36 non-state pension funds and major funds connected with corporate or sectoral institutions. The holding diversified beyond conventional financial services. Its media and information-technology division included Russian Media Group, a large Russian music-media operator with radio stations such as Russkoe Radio, Monte Carlo, Hit FM, DFM, and Radio Maximum, as well as the RU.TV television channel. The group also operated muz.ru, a digital portal for legally licensed music and video downloads; later references describe the portal as defunct. Its real-estate division owned or controlled Class A office buildings in Moscow, a sports center in the Sokolniki area, and hotel complexes in Russia and Ukraine. It was also linked to construction of a stadium for Spartak Moscow. By 2012, historical sources reported group assets above US$14.7 billion and shareholders' funds of approximately US$7.5 billion, placing IFD Kapital among the larger Russian companies by revenue according to contemporary rankings. A Russian rating agency reportedly assigned the group a triple-A rating in 2013. These figures and assessments belong to the period in which they were published and do not describe the group's current financial position. In June 2017, the United States imposed sanctions on IFD Kapital after it took ownership of the Riviera Sunrise hotel complex in Crimea. Publicly available reference material does not clearly establish the group's present ownership, operational status, or continuing corporate structure.
