Overview
Highmark Inc. is an American nonprofit healthcare company whose principal business is health insurance, complemented by healthcare delivery, dental and vision benefits, reinsurance, technology services, and community-oriented programs. Based in Pittsburgh, Pennsylvania, the organization developed from the consolidation of Pennsylvania licensees associated with the Blue Cross and Blue Shield system. Its principal insurance brands include Highmark Blue Cross Blue Shield in western Pennsylvania, Highmark Blue Shield in central Pennsylvania and the Lehigh Valley, and affiliated Blue Cross Blue Shield operations in West Virginia, Delaware, western New York, and northeastern New York. The organization was created in 1977 and took shape during the 1990s through the consolidation of Pennsylvania Blue Shield, headquartered near Harrisburg, and Blue Cross of Western Pennsylvania, based in Pittsburgh. The consolidation created a statewide insurance group with a substantial presence in Pennsylvania while preserving regionally differentiated Blue Cross and Blue Shield brands. Highmark later expanded beyond its original Pennsylvania base. In 1996, it acquired an insurer serving West Virginia, and its operations subsequently extended to Delaware. In 2015, it acquired Blue Cross of Northeastern Pennsylvania, broadening its reach within Pennsylvania. Highmark’s business scope expanded significantly in the 2010s. In 2011, it announced plans to acquire the financially troubled West Penn Allegheny Health System, a move that took the organization beyond insurance and into direct ownership and operation of hospitals. The transaction and the resulting relationship between Highmark and the University of Pittsburgh Medical Center contributed to a prolonged dispute over contracting, reimbursement, and access to care. Highmark’s healthcare delivery activities are associated with Allegheny Health Network, which includes hospitals and other care facilities in western Pennsylvania. The company also operates or has operated specialized businesses. United Concordia provides dental insurance, Davis Vision supplies managed-care vision benefits, and HM Insurance Group offers products and services including stop-loss coverage, limited-benefit medical plans, worksite insurance, life and disability coverage, reinsurance, and administrative services. Highmark has also maintained technology and healthcare-services operations through HM Health Solutions and community and home-based service initiatives. It sold Visionworks of America to VSP Global in 2019. Highmark’s geographic growth continued in 2021 with the acquisition of HealthNow, bringing Blue Cross Blue Shield operations in western and northeastern New York into the wider organization. The company’s consumer-facing presence is therefore organized through multiple regional plans rather than a single uniform insurance product. In Pennsylvania, Highmark Blue Cross Blue Shield is primarily associated with western counties, while Highmark Blue Shield serves central Pennsylvania and the Lehigh Valley. Highmark also operates Medicaid and dual-eligible programs through Highmark Wholecare and maintains affiliated plans in Delaware and West Virginia. The Highmark name has also become visible outside insurance through sponsorship and civic branding. In 2021, the Buffalo Bills announced a naming-rights agreement that changed the name of their stadium to Highmark Stadium. In 2023, the agreement was extended to the Bills’ new stadium, which was announced as retaining the Highmark Stadium name when it opens for the 2026 NFL season. Highmark is consequently both a regional insurance brand and the public-facing name of a broader nonprofit healthcare enterprise with insurance, provider, and diversified-services activities.
History
Highmark was created in 1977 and traces its institutional origins to Pennsylvania’s Blue Cross and Blue Shield licensees. During the 1990s, Pennsylvania Blue Shield, based near Harrisburg, and Blue Cross of Western Pennsylvania, headquartered in Pittsburgh, were consolidated into the organization that became Highmark. The combined group retained regionally recognizable Blue Cross and Blue Shield identities while building a broader insurance presence across Pennsylvania. Pittsburgh became the location of the consolidated company’s principal headquarters. Highmark expanded outside Pennsylvania through the purchase of a West Virginia insurer in 1996. It subsequently operated in West Virginia under the Highmark Blue Cross Blue Shield West Virginia name and developed an affiliated presence in Delaware. Within Pennsylvania, the organization’s regional structure reflected the historical boundaries of its predecessor plans: Highmark Blue Cross Blue Shield became primarily associated with western Pennsylvania, while Highmark Blue Shield served central Pennsylvania and the Lehigh Valley. The organization also maintained a presence in communities near the eastern Ohio border. In 2007, Highmark proposed a consolidation with Independence Blue Cross of Philadelphia. The combination would have created a large Pennsylvania-centered insurer with operations and headquarters in both Pittsburgh and Philadelphia. The parties withdrew their applications in 2009 after determining that conditions proposed by the Pennsylvania Insurance Department were unacceptable, including conditions affecting the continued use of established Blue Cross and Blue Shield trademarks. The failed transaction illustrated both the potential for consolidation in the regional health-insurance market and the regulatory sensitivity surrounding nonprofit insurance plans and their brands. A major strategic change came in 2011, when Highmark announced its intention to acquire West Penn Allegheny Health System. The financially troubled hospital system gave Highmark a direct healthcare-delivery platform and helped establish the organization’s later integrated model. The move also intensified competition with the University of Pittsburgh Medical Center, which had expanded in the opposite direction from hospital ownership into health insurance. The dispute between the two organizations affected contracts, reimbursement, and patient access involving their respective facilities. Highmark also brought a lawsuit alleging that UPMC had over-billed it for cancer drugs; an arbitration process ultimately ordered Highmark to pay $188 million. Highmark faced criticism in 2014 after a same-sex couple challenged the company’s refusal to provide family coverage under the Affordable Care Act. The organization subsequently reversed the policy. Later, Highmark received a perfect score in the Human Rights Campaign Foundation’s 2020 Corporate Equality Index, reflecting a more favorable assessment of its LGBTQ workplace policies at that time. The company continued to build a diversified healthcare group. Its related businesses included United Concordia in dental insurance, Davis Vision in managed vision benefits, HM Insurance Group in reinsurance and related coverage, and HM Health Solutions in healthcare technology and administrative services. Highmark sold Visionworks of America to VSP Global in 2019. Its provider activities became associated with Allegheny Health Network and included hospitals across western Pennsylvania and related areas. In 2015, Highmark acquired Blue Cross of Northeastern Pennsylvania, expanding its Pennsylvania footprint. In 2021, it acquired HealthNow, adding Blue Cross Blue Shield operations in western New York and northeastern New York. Highmark’s public profile also grew through sports sponsorship: the Buffalo Bills renamed their stadium Highmark Stadium in 2021 under a 10-year naming agreement, and in 2023 the agreement was extended to the team’s planned new stadium. Highmark therefore developed from a Pennsylvania insurance consolidation into a multi-state nonprofit healthcare enterprise combining insurance plans, government-program coverage, provider operations, specialized insurance, and healthcare services.
