History
Everi Holdings originated as Global Cash Access, a casino-focused financial-services venture formed in July 1998 by BA Merchant Services, First Data, and USA Processing. First Data contributed the assets of its gaming business, which already supplied cash services to more than 800 gaming properties. BA Merchant Services contributed cash and existing gaming assets. The initial business was built around the payment and cash-access needs of casinos rather than around gaming-machine manufacturing. The ownership structure changed materially in 2004. Global Cash Access repurchased First Data's shares for $435 million in a recapitalization, leaving M&C International with a dominant stake and Bank of America with a minority interest. M&C subsequently sold a large part of the company to private-equity investors led by Summit Partners for $316 million. Global Cash Access then completed an initial public offering in September 2005, becoming a New York Stock Exchange-listed company. Kirk Sanford was president and chief executive officer at the time of the offering. The company faced a significant regulatory challenge in Arizona in 2009. Regulators recommended that the state deny renewal of its authorization to serve Arizona casinos after allegations that Visa cash-advance transactions had been coded as retail purchases between 1999 and 2002. The alleged coding practices were said to have caused banks to lose approximately $26 million in transaction fees. The matter resulted in criticism of co-founders Karim Maskatiya and Robert Cucinotta, who sold their combined 26 percent interest. Global Cash Access ultimately paid Arizona $1 million to resolve the investigation. A major strategic shift occurred in December 2014, when Global Cash Access bought Multimedia Games, a Texas-based slot-machine manufacturer, for approximately $1.2 billion.
