Overview
Encore Capital Group is a publicly traded United States financial company focused on the purchase and management of consumer receivables. Rather than primarily originating consumer loans, the company acquires portfolios of charged-off or otherwise delinquent accounts from financial institutions and other creditors, then seeks repayment through a combination of account servicing, negotiated payment arrangements, litigation where permitted, and other collection processes. Its business is conducted through operating subsidiaries, most notably Midland Credit Management in the United States and Cabot Credit Management in the United Kingdom and Europe. The roots of the business extend to Midland Credit Management, which was incorporated in Kansas in 1953. In the late 1990s, an investor group associated with Nelson Peltz, Peter May, and Kerry Packer's Consolidated Press International Holdings acquired a majority interest in the operations. A Delaware holding company named MCM Capital Group, Inc. was formed in April 1999, completed an initial public offering in July of that year, and changed its name to Encore Capital Group, Inc. in April 2002. Encore expanded through acquisitions as the market for purchased consumer debt developed. It acquired Asset Acceptance Corporation in 2013, adding a significant United States debt-buying and servicing platform, and acquired Virginia-based Atlantic Credit & Finance in 2014. In 2018, Encore completed the acquisition of British debt buyer Cabot Financial, strengthening its presence outside the United States and making international consumer receivables a more important part of the group’s operating footprint. The company’s activities have also attracted substantial regulatory and legal scrutiny. Authorities and litigants have challenged aspects of its collection practices, including the use of litigation, documentation, representations to consumers, and court filings. In 2015, the New York attorney general announced a settlement involving a monetary penalty and the vacating of thousands of judgments. The Consumer Financial Protection Bureau later took enforcement action involving alleged deceptive or unfair collection practices, consumer refunds, a civil monetary penalty, and restrictions on collection of specified debts. A further CFPB case involving Encore and Cabot was resolved in 2020 through additional consumer redress, a civil penalty, and ongoing monitoring requirements. Encore is headquartered in San Diego and trades on the Nasdaq Global Select Market under the symbol ECPG. It has also been identified as a component of the Russell 2000, S&P SmallCap 600, and Wilshire 4500 indexes. Under President and Chief Executive Officer Ashish Masih, who joined the company in 2009, the group has combined debt portfolio investment, receivables servicing, technology, compliance controls, and consumer repayment programs. Its public positioning increasingly emphasizes responsible engagement and financial capability alongside the commercial objective of recovering purchased receivables.
History
Encore Capital Group developed from Midland Credit Management, a consumer-debt business incorporated in Kansas in September 1953. Midland became the operating vehicle through which the company purchased consumer receivables. The business model involved acquiring accounts that original creditors had charged off or otherwise determined were unlikely to be collected through ordinary servicing, then seeking recoveries over time through account management, repayment arrangements, and collection activity. In 1998, an investor group led by Nelson Peltz and Peter May, together with Kerry Packer's Consolidated Press International Holdings, acquired a majority interest in the operations. The investors subsequently organized a new holding structure. MCM Capital Group, Inc. was incorporated in Delaware in April 1999 and completed an initial public offering of 2,250,000 common shares in July of that year. In April 2002, the holding company adopted the Encore Capital Group name, establishing the corporate identity used today. The company expanded its United States platform through acquisitions. In June 2013, Encore acquired Asset Acceptance Corporation, a Warren, Michigan-based debt buyer. The transaction increased the group's portfolio, servicing capabilities, and scale in the American market. In 2014, Encore acquired Virginia-based Atlantic Credit & Finance, adding another consumer-receivables business to its United States operations. International expansion became more prominent through the acquisition of Cabot Financial. Encore completed the full acquisition of the British debt buyer in 2018. Cabot provided a platform for receivables investment and servicing in the United Kingdom and Europe, complementing Midland Credit Management's role in the United States. The resulting group operated across multiple markets while retaining a central focus on purchased consumer debt and related servicing activities. Encore's growth has occurred alongside heightened scrutiny of the debt-buying and collection sector. In January 2015, the New York attorney general sued Encore over alleged unethical practices. The resulting settlement required a $675,000 payment and the vacating of more than 4,500 court judgments against borrowers. Later in 2015, the Consumer Financial Protection Bureau took enforcement action concerning allegations that Encore pressured borrowers through false statements, lawsuits, and court documents described as robo-signed. The resolution involved approximately $42 million in consumer refunds, a $10 million penalty, and an injunction covering collection of more than $125 million in specified debts, as described in contemporary reporting and reference material. In September 2020, the CFPB filed another lawsuit involving Encore and Cabot. In October of that year, Encore agreed to additional consumer redress of $78,308.81 and a $15 million civil monetary penalty, together with five years of monitoring. These events made compliance, documentation, consumer communications, litigation controls, and regulatory oversight central issues in the company's public profile. The group has also pursued initiatives intended to address financial capability and consumer engagement. In June 2017, it announced Money Matters, a program using employee volunteers to teach financial literacy to high school and college students. The initiative reflected an effort to associate the company with financial education while it continued its core receivables investment and servicing operations. Encore Capital is headquartered in San Diego, California. It is publicly traded on Nasdaq under the ticker ECPG and has been identified as a component of the Russell 2000, S&P SmallCap 600, and Wilshire 4500. Ashish Masih, who joined the company in 2009, is identified as its president and chief executive officer. The company remains active, with Midland Credit Management and Cabot among its principal operating businesses.
