Overview
Digi Communications is a Romanian-founded telecommunications group whose business developed from local cable television networks into an integrated communications operator. Its roots date to 1992, when Zoltán Teszári, Ioan Bendei and other investors established TVS Holding in Brașov. The early business concentrated on building and operating cable infrastructure in Romanian cities, including Brașov, Timișoara and Bucharest. In the 1990s, the group reorganized its activities under Romania Cable Systems and Romania Data Systems, separating cable television from the emerging internet business while continuing to expand its network footprint. The company’s first major international move came in Hungary in 1998, when it acquired a number of small and medium-sized cable operators. It subsequently developed operations in Slovakia, the Czech Republic, Croatia and Serbia, and created the Digi TV satellite platform as a way to distribute television services beyond the reach of its fixed networks. RCS and RDS were merged in 2005 to form RCS & RDS S.A., creating a broader platform for cable, fixed telephony, internet and television services. The group pursued both organic network construction and acquisitions, including the development of a national fiber-optic backbone and the introduction of fiber-to-the-building, GPON and fiber-to-the-home architectures. Digi’s service portfolio has expanded across fixed and mobile connectivity. Broadband internet is a core offering, supported by extensive fiber infrastructure in Romania and Hungary and by fiber-to-the-home deployment in Spain. Fixed telephony was introduced in Romania after market liberalization, while the Digi Mobil mobile business developed through a combination of network ownership, spectrum acquisitions and mobile virtual network operator arrangements. Its media activities include sports, news, documentary, lifestyle, children’s and film channels, including Digi Sport, Digi24, Digi World, Digi Life, Digi Animal World and Film Now. Digi Communications was listed on the Bucharest Stock Exchange in 2017, following the renaming of its Dutch parent from Cable Communications Systems N.V. to Digi Communications N.V. The listing gave the group a public-market structure while control remained concentrated through RCS Management and its principal shareholder. In later years, Digi continued to invest in Romanian mobile and fixed networks, introduced commercial 5G service in Romania in 2019, expanded broadband activities in Spain and explored additional European markets, including Portugal and Belgium. The group has also reduced or exited selected operations. Its Slovak business was sold to Slovak Telekom, its Croatian operation was sold to A1 Telekom Austria’s local business, and its Serbian satellite operation ultimately passed to Telekom Srbija. Digi’s Hungarian operations, including Invitel, were acquired by 4iG in 2021; the Hungarian business was subsequently integrated into the One brand following 4iG’s consolidation of its telecommunications assets. Digi Communications therefore remains principally associated with Romania and with a cost-focused, vertically integrated model combining connectivity, television distribution and mobile communications.
History
Digi Communications originated in Romania’s post-communist cable-television market. In 1992, TVS Holding was established in Brașov by Zoltán Teszári, Ioan Bendei and other businesspeople. The venture built cable networks in Brașov and Timișoara and later developed a presence in Bucharest. Teszári also co-founded Kappa in Bucharest in 1993. The division of the Kappa network in the mid-1990s contributed to a long period in which different operators served separate parts of the capital. In 1997, the cable business adopted the name Romania Cable Systems, while Romania Data Systems was established to provide internet access. The group began international expansion in 1998 by entering Hungary through the acquisition of multiple local cable companies. It expanded into Slovakia around the turn of the decade and began constructing a national fiber-optic network in Romania in 2000. Fixed telephony followed Romanian market liberalization in 2003. Satellite television became a major growth vehicle. Digi TV launched in Romania in 2004 and was introduced in Hungary, the Czech Republic, Slovakia, Croatia and Serbia during the following years. RCS and RDS merged in 2005, forming RCS & RDS S.A. The company continued to grow through network investment and acquisitions, including the C-Zone network in Bucharest and later the Invitel cable business in Hungary. Spain became an important market through an MVNO launched in 2008 over Telefónica’s network. Its initial customer base included Romanian expatriates, but the business later expanded with inexpensive domestic mobile and broadband plans. Digi also entered Italy as an MVNO in 2010. A mobile operation launched in Hungary in 2019 after delays associated with licensing and network development. The corporate parent was established in the Netherlands as Cable Communications Systems N.V. in 2000. It was renamed Digi Communications N.V. in 2017, the same year the company was listed on the Bucharest Stock Exchange. The public listing formalized the group’s capital-market presence while control remained concentrated through RCS Management and Zoltán Teszári. Digi introduced commercial 5G service in Romania in 2019 and continued expanding broadband in Spain. It later pursued development in Portugal and Belgium.
