Overview
Dialog Axiata PLC is a Sri Lankan telecommunications company and the principal Sri Lankan operating company of Malaysia-based Axiata Group Berhad. The business was incorporated in 1993 as MTN Networks (Private) Limited and began commercial operations in 1995 under the Dialog GSM brand. It entered a mobile market that already had several established operators, but differentiated itself by deploying Sri Lanka’s first digital GSM network and subsequently introducing a succession of mobile-data and broadband technologies. The company’s early development was marked by rapid network expansion and regional technology milestones. It became the first operator in the Asia-Pacific region to provide international roaming in 1997, reached operational profitability in 1998, and became Sri Lanka’s mobile-market leader in 2000. In 2001 it expanded beyond voice services by launching Dialog Internet, GPRS and MMS offerings. Following the 2002 ceasefire agreement, Dialog extended coverage to the Jaffna Peninsula within 45 days, and it reached one million subscribers and 500 second-generation base stations in 2004. In 2005 the company changed its corporate identity to Dialog Telekom and completed a major initial public offering on the Colombo Stock Exchange. It subsequently broadened its scope through acquisitions. MTT Network was acquired in 2005 and developed into Dialog Broadband Networks, while CBN SAT was acquired in 2006 and relaunched as Dialog Television. These moves gave the company fixed-line, broadband, transmission, satellite television and other communications capabilities in addition to mobile telephony. After the end of Sri Lanka’s civil war, Dialog extended its network into northern and eastern areas that had previously been affected by the conflict. The corporate name became Dialog Axiata in 2010 after Axiata’s creation as an independent regional telecommunications group. The company acquired Suntel in 2012, reinforcing its fixed-line and broadband activities, and launched Sri Lanka’s first commercial 4G LTE network in 2013. It also conducted early 5G demonstrations and trials before commercial spectrum became available. Its wider service portfolio includes mobile voice and data, fixed broadband, enterprise connectivity, international roaming and wholesale services, satellite television, digital products and national telecommunications infrastructure. Dialog is primarily a Sri Lankan business rather than a multinational consumer brand, although it operates within Axiata’s wider South and Southeast Asian telecommunications group. Its position rests on broad national network coverage, a large subscriber base, early adoption of mobile technologies and the ability to bundle communications, entertainment and digital services. In 2024 it completed the acquisition of Airtel Lanka through a share exchange with Bharti Airtel. The transaction increased Dialog’s scale and resulted in Bharti Airtel receiving a minority holding in Dialog. The company remains active across mobile, broadband, television, enterprise and international telecommunications markets in Sri Lanka.
History
Dialog Axiata began in 1993 as MTN Networks (Private) Limited, established with Telekom Malaysia as the principal investor and Capital Maharaja as the local investment partner. It was the fourth entrant to Sri Lanka’s mobile market. In 1995 the company began commercial service under the Dialog GSM name, using a digital GSM network at a time when competing services included analogue systems. Capital Maharaja divested its interest in 1996, leaving Telekom Malaysia with full ownership. Hans Wijayasuriya became chief executive in 1997 and remained a central figure in the company’s expansion for almost two decades. The operator reached several early milestones. It introduced international roaming in 1997, recorded its first operating profit in 1998 and became Sri Lanka’s mobile-market leader in 2000. In 2001 it launched internet services, GPRS and MMS over its existing mobile infrastructure. The company also expanded its geographic reach quickly: after the 2002 ceasefire agreement it connected the Jaffna Peninsula within 45 days. By 2004 it had passed one million subscribers and commissioned its 500th 2G base station. In 2005 MTN Networks adopted the Dialog Telekom identity and carried out a substantial initial public offering on the Colombo Stock Exchange. The listing supplied capital for network development and became one of the most prominent offerings in Sri Lanka’s capital-market history. Dialog Telekom then expanded into adjacent communications businesses. Its 2005 purchase of MTT Network added transmission, backbone, CDMA and external-gateway capabilities. In 2006 it acquired CBN SAT, entering direct-to-home television and creating Dialog TV. These transactions transformed the company from a mobile operator into a broader communications and entertainment provider. The company continued extending its network after the end of the civil war in 2009, including into northern and eastern provinces. In 2010 Dialog Telekom changed its name to Dialog Axiata, reflecting the formation and regional strategy of Axiata Group following the separation of Axiata from Telekom Malaysia’s former international structure. In 2012 Dialog Broadband Networks acquired Suntel, strengthening fixed-line, broadband and enterprise connectivity operations. Technology leadership remained a recurring feature of the company’s development. Dialog launched commercial 4G LTE in April 2013 using the 1800 MHz band, making it the first operator to launch a commercial FD-LTE network in South Asia according to the company’s historical account. It later demonstrated 5G technology in Sri Lanka and conducted non-standalone trials using its 4G infrastructure. Commercial 5G deployment was dependent on regulatory spectrum allocation and network preparation. Dialog also introduced digital products, including the anonymous advice and messaging platform Yeheli.lk in 2018. The COVID-19 period increased demand for mobile and fixed broadband as work, education and entertainment moved online. Dialog responded by expanding capacity and supporting connectivity and digital-education initiatives. In 2023 it announced an agreement to acquire Airtel Lanka, and the transaction closed on 26 June 2024 through a share exchange. Bharti Airtel received a minority stake in Dialog as consideration. The transaction brought Airtel Lanka’s subscribers, spectrum and infrastructure into the Dialog operation and further concentrated Sri Lanka’s mobile telecommunications market. Dialog’s current portfolio spans mobile communications, broadband, television, enterprise services, international connectivity and telecommunications infrastructure.
