Overview
Cognizant is a multinational information technology services and business consulting company headquartered in Teaneck, New Jersey. Although it is domiciled in the United States, the company was established in Chennai, India, and has retained a substantial delivery and engineering presence there. Its work combines consulting, systems integration, application modernization, cloud and data services, artificial intelligence, cybersecurity, engineering, business-process services, and industry-specific technology platforms. The company began in 1994 as Dun & Bradstreet Satyam Software, a joint venture between Dun & Bradstreet and Satyam Computers. Initially it operated as an internal technology unit serving Dun & Bradstreet businesses, with approximately 50 employees in Chennai. It began pursuing external customers in 1996. Corporate restructurings involving Dun & Bradstreet subsidiaries led to the Cognizant name and a move toward a U.S.-centered corporate structure. Cognizant Technology Solutions became a public company in 1998 through an initial public offering and was later fully separated from IMS Health. During the 2000s, Cognizant broadened its scope from application development and Y2K-related work into large-scale IT services, outsourcing, business-process outsourcing, and consulting. Its industry coverage developed around banking and financial services, insurance, healthcare, life sciences, manufacturing, retail, communications, media, technology, and public-sector work. The 2014 acquisition of TriZetto strengthened its healthcare information-technology and software capabilities, while later investments and acquisitions expanded its cloud, analytics, digital engineering, artificial intelligence, and industry-platform portfolio. Cognizant serves clients through a geographically distributed model combining local consulting and client teams with regional and offshore delivery centers. India remains its largest employment base, while the company also operates or maintains delivery, engineering, and client-service capabilities in the United States, United Kingdom, continental Europe, Canada, Latin America, Australia, the Philippines, and other markets. The company reported more than 347,000 employees globally at the end of 2023, with the majority based in India. Leadership has changed several times as Cognizant moved from a founder-led growth phase to a larger public-company structure. Kumar Mahadeva was succeeded by Lakshmi Narayanan in 2003, Francisco D'Souza became chief executive in 2006, and Brian Humphries took the role in 2019. Ravi Kumar Singisetti became chief executive in January 2023. Under Kumar, Cognizant has emphasized generative artificial intelligence, cloud modernization, digital engineering, automation, and partnerships intended to embed AI into enterprise workflows. A 2024 partnership with Microsoft focused on expanding enterprise generative-AI and Copilot adoption. Cognizant is listed on Nasdaq under the symbol CTSH. It entered the Nasdaq-100 in 2004, joined the S&P 500 in 2006, and became a Fortune 500 company in 2011. Alongside its commercial activities, the Cognizant Foundation and employee-volunteering programs support education, healthcare, workforce development, and nonprofit capacity building. The company has also used sports sponsorships, including Formula One, professional golf, SailGP, and Major League Cricket, to increase brand visibility and associate its identity with technology-led performance and transformation.
History
Cognizant originated in 1994 in Chennai as Dun & Bradstreet Satyam Software, a joint venture between Dun & Bradstreet and Satyam Computers. Kumar Mahadeva and Srini Raju were associated with the founding leadership. The venture initially functioned as Dun & Bradstreet's internal technology operation, delivering large IT projects for the parent company's businesses. Its early workforce was small, but its remit expanded when it began seeking customers outside the Dun & Bradstreet group in 1996. Dun & Bradstreet reorganized several technology and information-related subsidiaries in 1996 to create Cognizant Corporation. The Indian joint venture adopted the Cognizant Technology Solutions name in 1997. Dun & Bradstreet subsequently purchased Satyam's minority interest, and the corporate headquarters were moved to the United States. Cognizant's early commercial work included Y2K remediation, web development, application development, and technology support for large enterprises. In 1998, Cognizant Corporation was divided into IMS Health and Nielsen Media Research. Cognizant Technology Solutions became a public subsidiary of IMS Health and completed an initial public offering in June of that year. IMS Health eventually sold its remaining stake in 2003. Cognizant adopted measures intended to deter hostile takeover attempts and continued operating as an independent public company. The post-IPO period was marked by rapid expansion in the scope and geography of the business. Under Lakshmi Narayanan and then Francisco D'Souza, the company moved beyond project-based application work into broader IT outsourcing, business-process outsourcing, consulting, systems integration, and industry-specific services. It built a delivery model centered on India while expanding client-facing and delivery capabilities in North America, Europe, Asia-Pacific, and Latin America. Cognizant's sector structure developed around financial services, insurance, healthcare, life sciences, manufacturing, retail, communications, media, and technology. Cognizant's acquisition strategy became increasingly important as enterprises shifted toward cloud computing, analytics, digital customer experience, automation, and platform-based services. The 2014 acquisition of TriZetto was a major healthcare expansion, adding software and services used by healthcare organizations and payers. Other transactions and partnerships subsequently broadened Cognizant's digital engineering, cloud, data, and automation capabilities. The company also divested selected assets, including the sale of Oy Samlink to Kyndryl and Mustache to DJE Holdings in 2022. The leadership transition from Francisco D'Souza to Brian Humphries in 2019 reflected a continued focus on modernization and operational execution. In January 2023, Ravi Kumar Singisetti became chief executive. His tenure has emphasized artificial intelligence, generative AI, cloud transformation, automation, and the redesign of technology-service delivery. In 2024, Cognizant announced an expanded relationship with Microsoft involving generative AI and Copilot capabilities. Cognizant remains a major global technology-services employer and contractor. At the end of 2023 it had more than 347,000 employees, including roughly 254,000 in India. Its Indian footprint includes major centers in Chennai, Hyderabad, Bengaluru, and other cities, while its international network supports client delivery, consulting, engineering, and sales. The company has also pursued brand-building through sponsorships of Aston Martin's Formula One team, professional golf, SailGP, and Major League Cricket. Its social-impact activities are supported in part through the Cognizant Foundation and employee volunteer program Outreach. The company has faced scrutiny over alleged corruption-related payments, tax matters, employment practices, discrimination claims, visa and wage issues, and workforce reductions. These controversies coexist with Cognizant's continuing position as a publicly traded technology-services provider whose strategy is increasingly centered on AI-enabled enterprise transformation.
