Overview
Circle Health Group is a private healthcare provider headquartered in London and one of the largest independent hospital operators in the United Kingdom. The group provides private medical and surgical care, diagnostic services, rehabilitation, outpatient treatment and selected services commissioned by the National Health Service. Its hospital portfolio includes facilities operating under the Circle and former BMI Healthcare identities, while its broader activities have included independent-sector treatment centres, integrated-care contracts and international hospital development. The business was established in 2004 as Centres Of Clinical Excellence Limited by Ali Parsa, a former investment banker who later founded Babylon Health, and consultant ophthalmologist Massoud Fouladi. The founders promoted a clinically led and comparatively decentralised operating model in which clinicians and frontline teams were given greater responsibility for service organisation. Circle described the model as a partnership and compared its intended culture with employee-participatory organisations such as John Lewis and professional-services firms. Doctors and employees were offered equity incentives during the company’s earlier development, although the employee-ownership structure was later reduced and ultimately ended when the business was taken private. Circle initially pursued both private hospitals and NHS contracts. It opened Circle Nottingham, an independent-sector treatment centre, in 2008 and developed Circle Bath, a purpose-built private hospital that opened in 2010, followed by Circle Reading in 2012. In 2011 it won a ten-year contract to manage Hinchingbrooke Hospital in Cambridgeshire, becoming the first private company to operate an NHS England hospital under such an arrangement. The contract ended early after critical regulatory findings and continuing financial problems, making Hinchingbrooke a defining and controversial episode in Circle’s history. The company expanded its clinical-services activities through Circle Integrated Care, including musculoskeletal-service contracts in Bedfordshire and Greenwich. It also developed international ambitions, announcing a Chinese hospital venture in 2016 and opening a hospital in Shanghai in 2019. In the same period, the company changed its ownership structure. Circle had floated on London’s AIM market in 2011, but Toscafund Asset Management and Penta Capital took it private in 2017. A major turning point came in 2019 when Circle acquired BMI Healthcare, then the UK’s largest private hospital provider, and adopted the Circle Health Group name. The combination created the largest private hospital group in the UK and substantially broadened the network and service range. The Competition and Markets Authority required the divestment of Circle Bath and the planned Birmingham hospital as a condition of approving the transaction. Circle Bath was subsequently acquired by the NHS and renamed Sulis Hospital. Circle Health Group later came under the ownership of Centene through its MH Services subsidiary, which acquired full ownership in 2021. In 2023 PureHealth, an Abu Dhabi-based healthcare holding company, agreed to acquire the group in a transaction reported at approximately $1.2 billion; completion was announced in January 2024. The group remains focused primarily on UK private healthcare, with hospitals and clinics offering elective surgery, diagnostics, cancer care, orthopaedics, rehabilitation and other specialist services. Its history combines rapid private-sector expansion with substantial NHS contracting experience, regulatory scrutiny and repeated changes in ownership.
History
Circle Health Group began in 2004 as Centres Of Clinical Excellence Limited, founded by Ali Parsa and Massoud Fouladi. Its initial proposition was a clinically oriented organisation with decentralised decision-making and employee participation. The company sought to combine private capital with professional autonomy and planned a substantial network of hospitals. It raised investment from institutional and venture investors and floated on the Alternative Investment Market in 2011. The group’s early operating history included both private facilities and NHS work. Circle Nottingham opened in 2008 as an independent-sector treatment centre. Circle Bath opened in 2010, followed by Circle Reading in 2012. In November 2011 Circle won the contract to manage Hinchingbrooke Hospital, an NHS facility in Cambridgeshire. Although some patient-satisfaction and waiting-time indicators initially improved, the hospital continued to experience deficits. Circle withdrew in 2015, three years into the ten-year arrangement, after criticism from the Care Quality Commission. The regulator found serious shortcomings in care, safety, hygiene and leadership. The hospital was left with a deficit reported at approximately £14 million, with the public sector bearing most of the exposure because Circle’s liability had been capped. Circle also operated NHS-commissioned services elsewhere. Through Circle Integrated Care it managed musculoskeletal pathways in Bedfordshire from 2014 and began a Greenwich contract in 2017. Its Nottingham dermatology service later became the subject of an independent report that characterised the service’s performance as extremely poor. Problems included consultant departures, recruitment difficulties and reliance on locum clinicians. Nottingham University Hospitals NHS Trust resumed operation of the relevant services in 2019. The company expanded outside Britain during the second half of the 2010s. It announced plans for Chinese hospitals in 2016 and opened a Shanghai hospital in April 2019. Ownership changed significantly in the same period: Toscafund and Penta Capital took Circle private in 2017, ending its AIM quotation. In 2019 Circle acquired BMI Healthcare. The enlarged business was renamed Circle Health Group and became the UK’s biggest private hospital provider. The Competition and Markets Authority reviewed the deal and required the sale of Circle Bath and the uncommissioned Birmingham facility. Circle Bath was later acquired by the NHS and became Sulis Hospital. Centene obtained a substantial stake through MH Services as part of the BMI transaction and became the group’s full owner in 2021. PureHealth agreed to acquire Circle Health Group in 2023, and completion was announced in January 2024. The group now operates as a private healthcare platform within PureHealth, with a predominantly UK hospital and clinical-services footprint.
