Celltech was a British biotechnology company established in 1980 to address a perceived failure by the United Kingdom to commercialise discoveries emerging from publicly funded science. In 1999 it merged with Chiroscience plc and was temporarily known as Celltech Chiroscience before acquiring Medeva. It bought the United States biosciences company Cistron in 2000, expanded into Germany through the acquisition of Thiemann in 2001, and acquired Oxford Glycosciences in July 2003 for £102 million. These transactions broadened the group from a UK biotechnology pioneer into a larger international biopharmaceutical company with research, development and commercial capabilities. Celltech was listed on the London Stock Exchange and became a constituent of the FTSE 100 Index. Its independent existence ended when Belgian pharmaceutical company UCB acquired it in 2004. Following the transaction, Celltech's operations and assets were integrated into UCB and the standalone Celltech identity was progressively discontinued. History
Celltech was formed in 1980 in response to concern that Britain was not converting its scientific achievements into successful commercial businesses. The emergence of modern biotechnology, together with the development of monoclonal-antibody methods in Cambridge, highlighted the commercial potential of biological research and the risk that British discoveries would be exploited elsewhere. Celltech was designed to create an institutional route from publicly funded research to industrial products. Its creation involved the National Enterprise Board, the National Research Development Corporation and the Medical Research Council. The original concept gave the company exclusive rights to biotechnology discoveries produced across UK research institutions and universities. Although the initiative was conceived under a Labour government, Celltech was established under a Conservative government. Industry minister Sir Keith Joseph supported a structure in which the private sector held the majority of the company, reflecting the government's preference for commercial discipline rather than direct state control. Gerard Fairtlough, who had worked at the National Enterprise Board, developed the plan and became Celltech's founding chief executive. During roughly the first decade of the company's life, he helped build an organisation intended both to conduct high-level biological research and to demonstrate that British science could support a profitable, investor-backed biotechnology enterprise. Celltech became an important institutional example for the later development of the UK's biotechnology sector and contributed to changes in the way research institutions approached technology transfer. The company's technical work included the cloning of the glutamine synthetase gene in Chinese hamster ovary cells. In 1999 it merged with Chiroscience plc, creating a larger UK bioscience group that was briefly called Celltech Chiroscience. It then acquired Medeva. In 2000 Celltech bought Cistron in the United States, followed by the acquisition of German biosciences company Thiemann in 2001. In July 2003 it acquired Oxford Glycosciences for £102 million. These transactions expanded its geographic reach and added research, development and commercial assets. Celltech's antibody research also produced important collaborations. In partnership with Wyeth, it worked on antibody-drug conjugates including gemtuzumab ozogamicin and inotuzumab ozogamicin. The company therefore combined established pharmaceutical products with newer biologic and biotechnology programmes. It was listed on the London Stock Exchange and became a FTSE 100 constituent, giving it a prominent position among British public companies. UCB acquired Celltech in 2004. The acquisition brought Celltech's research programmes, products and technology platforms into the Belgian pharmaceutical group. Celltech subsequently ceased to operate as an independent corporate brand.
