Overview
Cassa di Risparmio del Friuli Venezia Giulia S.p.A., commonly known as CariFVG, was an Italian savings bank headquartered in Gorizia and focused on the Friuli-Venezia Giulia region. The bank was created on 1 December 2003 under the name Friulcassa S.p.A. Cassa di Risparmio Regionale through the merger of two long-established local institutions: Cassa di Risparmio di Gorizia and Cassa di Risparmio di Udine e Pordenone. It was subsequently renamed Cassa di Risparmio del Friuli Venezia Giulia S.p.A. in 2007. The institution represented the corporate continuation of regional savings-bank traditions that reached back considerably further than the 2003 merger. The Gorizia savings bank was founded in 1831 in Gorizia and Gradisca, then part of the Austrian Empire. The Udine institution had a more layered history. A predecessor charitable pawn institution was established in Udine in 1496, while a savings bank was re-established in 1876 on the basis of a branch of Cassa di Risparmio delle Provincie Lombarde. The Udine bank later expanded through the absorption of local charitable lending institutions, including those in San Daniele del Friuli and Cividale del Friuli, and adopted the name Cassa di Risparmio di Udine e Pordenone in 1968. Both predecessor banks were reorganized as joint-stock companies during the Italian banking reforms associated with the Legge Amato. Their former statutory entities became banking foundations: Fondazione Cassa di Risparmio di Gorizia and Fondazione Cassa di Risparmio di Udine e Pordenone, the latter now known as Fondazione Friuli. The two banks initially operated within the Casse Venete network. That holding structure later participated in the creation of Cardine Banca, which merged with Sanpaolo IMI in 2002. After the 2003 merger, Friulcassa became part of the Sanpaolo IMI group. In 2007 Sanpaolo IMI merged with Banca Intesa, creating Intesa Sanpaolo, and the regional bank continued as a subsidiary under its new CariFVG name. The wider group also sold Banca Popolare FriulAdria to Crédit Agricole in connection with the Intesa-Sanpaolo combination and competition considerations in the region. As part of the resulting regulatory arrangements, restrictions were placed on the opening of new branches in the provinces of Udine and Gorizia for a period of two years. CariFVG remained a regional banking brand within the Intesa Sanpaolo structure until the group announced on 22 December 2017 that it would absorb the bank into Intesa Sanpaolo as branches. It therefore ceased to exist as an independent banking company and brand, while its local branch network and banking relationships were integrated into the parent group. Its historical significance lies in the consolidation of two important Friulian savings-bank traditions and their eventual incorporation into Italy's national banking system.
History
The institutional history behind Cassa di Risparmio del Friuli Venezia Giulia combines two major savings-bank traditions in the Friuli-Venezia Giulia area. The older Gorizia lineage began in 1831, when Cassa di Risparmio di Gorizia was established in Gorizia and Gradisca under the Austrian Empire. The institution later underwent the Italian banking-sector reorganization associated with the Legge Amato. A joint-stock company, Cassa di Risparmio di Gorizia S.p.A., was separated from the original statutory savings-bank entity by a Ministry of the Treasury decree dated 26 June 1992 and published on 22 July 1992. The original entity became Fondazione Cassa di Risparmio di Gorizia. The Udine lineage had roots in both charitable finance and savings banking. A mount of piety was founded in Udine in 1496 by the Franciscan friar Domenico da Ponzone. Although an early savings bank established in 1822 soon ceased operations, a new Cassa di Risparmio di Udine was established in 1876 using the foundation of a local branch of Cassa di Risparmio delle Provincie Lombarde. In 1928, following legislation encouraging the consolidation of smaller financial institutions, it acquired the mounts of piety in San Daniele del Friuli and Cividale del Friuli. The Udine pawn institution, then called Monte di Credito su Pegno di Udine, was merged into the savings bank in 1942. After the creation of the province of Pordenone, the bank changed its name to Cassa di Risparmio di Udine e Pordenone in 1968. Like its Gorizia counterpart, the Udine-Pordenone institution was converted into a joint-stock company in 1991. Cassa di Risparmio di Udine e Pordenone S.p.A. was established by Ministry of the Treasury decree, while the former statutory body became Fondazione Cassa di Risparmio di Udine e Pordenone, now known as Fondazione Friuli. The new company was recapitalized, with Cassa di Risparmio di Verona, Vicenza, Belluno e Ancona taking a 25 percent holding after the capital increase. The foundations of the Gorizia and Udine-Pordenone savings banks joined with other regional banking foundations from Venice and Padova-Rovigo in the Casse Venete structure. Casse Venete Banca merged with Casse Emiliano Romagnole in 2000 to form Cardine Banca. Cardine subsequently merged with Sanpaolo IMI in 2002, bringing the two Friulian savings banks into the Sanpaolo group while they remained separate institutions. On 1 December 2003, the two banks were merged into a new institution named Friulcassa S.p.A. Cassa di Risparmio Regionale. In 2007 it adopted the name Cassa di Risparmio del Friuli Venezia Giulia S.p.A., usually shortened to CariFVG. That same year Sanpaolo IMI merged with Banca Intesa to create Intesa Sanpaolo. The reorganization also involved the sale of another regional subsidiary, Banca Popolare FriulAdria, to Crédit Agricole, partly in response to competition concerns and Crédit Agricole's changed position in the combined group. Intesa Sanpaolo was also restricted from opening new branches in the provinces of Udine and Gorizia for two years. CariFVG remained a regional subsidiary until December 2017, when Intesa Sanpaolo announced that it would absorb the bank into its own branch network. The absorption ended CariFVG's independent corporate existence and transformed the bank from a separate regional institution into a historical local brand represented within Intesa Sanpaolo branches.
