Overview
Brown-Forman is an American family-controlled beverage company headquartered in Louisville, Kentucky. Founded in 1870 by George Garvin Brown, the business developed around the idea that whiskey should be sold in sealed glass bottles rather than from bulk containers. That approach helped establish Old Forester, the company's founding bourbon brand, and gave Brown-Forman an early reputation for product consistency, packaging and brand identification. The company is now one of the world's major producers and marketers of distilled spirits. Its portfolio is led by Jack Daniel's Tennessee whiskey, Old Forester bourbon and Woodford Reserve bourbon, and also includes Herradura and el Jimador tequila, BenRiach, GlenDronach and Glenglassaugh single-malt Scotch whiskies, Chambord liqueur, Fords Gin, Slane Irish whiskey, Collingwood Canadian whisky, Korbel and Sonoma-Cutrer wine interests, and various ready-to-drink products. The portfolio has changed over time: Brown-Forman sold Southern Comfort and Tuaca to Sazerac in 2016, Early Times and Canadian Mist in 2020, and Finlandia vodka to Coca-Cola HBC in 2023. Brown-Forman remained a family-influenced enterprise even after becoming publicly traded. Its Class A common stock carries voting rights and is relatively closely held, while Class B common stock is publicly traded without voting rights. Descendants of founder George Garvin Brown retain substantial voting control. This structure has supported a long-term approach to brand building, whiskey maturation, distillery investment and selective acquisitions. The company expanded beyond American whiskey through acquisitions and portfolio development. It bought Chambord in 2006, acquired Tequila Herradura in 2007, and purchased the BenRiach Distillery Company in 2016, bringing BenRiach, GlenDronach and Glenglassaugh into the group. At the same time, it exited or reduced exposure to several non-core categories, including fine china, luggage, Italian wine, broader wine holdings and selected vodka and whiskey brands. Brown-Forman's positioning is centered on premium and super-premium alcohol brands with distinctive heritage, production stories and international recognition. Its commercial model combines ownership of distilleries and trademarks with global marketing, distribution partnerships and local market operations. Jack Daniel's provides the largest international platform, while Woodford Reserve, Old Forester, Herradura, el Jimador and the Scotch portfolio broaden the company's reach across whiskey, tequila and premium spirits. The company operates in a regulated industry and has faced scrutiny over distributor practices, including a 2011 Chinese regulatory fine concerning alleged illegal subsidization of distributors. It has also undertaken restructuring measures. In January 2025, Brown-Forman announced plans to reduce its global workforce by 12 percent from a workforce of approximately 5,400. Brown-Forman remains an active global spirits company, with its identity anchored in whiskey, family ownership, premiumization and a diversified international brand portfolio.
History
George Garvin Brown established the business in Louisville in 1870. Brown's central commercial insight was to market whiskey in sealed glass bottles, an approach intended to protect quality and give consumers a recognizable branded product. Sources differ on the precise early partnership history: some describe Brown as founding the company alone and later bringing in an accountant named Forman, while other accounts trace a sequence of reorganizations involving Brown and several partners. The business ultimately adopted the Brown-Forman name in the late nineteenth century. Brown's son, Owsley Brown, joined the company in 1904. When George Garvin Brown died in 1917, Owsley became president and continued the family's leadership. Brown-Forman survived the United States temperance movement and Prohibition. In 1920, it received one of six national licenses allowing production of medicinal whiskey, enabling the company to maintain a regulated business presence while ordinary alcohol production was prohibited. During the twentieth century, Brown-Forman developed from a whiskey producer into a broader branded consumer-products company. Old Forester remained closely associated with the company's founding, while the group expanded its activities in wine, spirits and other categories. It acquired Lenox, a fine-china manufacturer, in 1983, but later sold the Lenox division to Department 56 in 2005 and distributed the proceeds through a special dividend. Brown-Forman also disposed of its Hartmann luggage division, reflecting a gradual return toward beverage categories. The company pursued international spirits expansion in the 2000s. It launched what was described as the first low-carbohydrate wine brand in the United States in 2004, acquired Chambord in 2006, and bought Tequila Herradura in 2007. It sold the Bolla and Fontana Candida Italian wine brands in 2008 and later sold Fetzer Vineyards and related brands to Viña Concha y Toro in 2011. These transactions narrowed the company's exposure to non-core wine operations while strengthening its concentration in branded spirits. In 2016, Brown-Forman sold Southern Comfort and Tuaca to Sazerac while agreeing to acquire BenRiach Distillery Company. The acquisition brought the BenRiach, GlenDronach and Glenglassaugh Scotch whisky brands into the portfolio and materially expanded the company's single-malt position. In 2020, Brown-Forman sold Early Times and Canadian Mist to Sazerac. In 2023, it announced the sale of Finlandia vodka to Coca-Cola Hellenic Bottling Company. Brown-Forman's ownership structure remains distinctive. The company has two publicly traded common-stock classes: Class A shares carry voting rights and are closely controlled, while Class B shares are non-voting. Brown family descendants retain majority voting influence. George Garvin Brown IV retired as chairman in January 2021 and was succeeded by Campbell P. Brown. In January 2025, the company announced a planned 12 percent reduction in its global workforce, indicating a restructuring response to changing operating conditions. Today, Brown-Forman's business is organized around globally marketed spirits and selected wine and ready-to-drink products. Jack Daniel's is its most internationally prominent brand, complemented by Old Forester and Woodford Reserve in American whiskey, Herradura and el Jimador in tequila, and BenRiach, GlenDronach and Glenglassaugh in Scotch whisky. The company's long-term identity combines family control, premium brand building, distillery heritage and international distribution.
