Overview
Banca Transilvania is a Romanian universal bank and the core company of the BT Financial Group. Established in 1993 by 46 Romanian entrepreneurs, the institution began operations in February 1994 with one branch in Cluj-Napoca and 13 employees. Its early customers were largely connected to the founders and their local communities. The bank subsequently developed from a regional institution into a nationwide commercial bank serving individuals, small businesses, medium-sized companies, large corporations and institutional clients. The bank provides a broad range of financial services, including retail and corporate lending, deposits, payment cards, current accounts, digital banking, leasing, investment banking and capital-markets services. Through subsidiaries and affiliated businesses, the BT Financial Group also operates in asset management, consumer finance, microfinance, pension administration, brokerage and digital banking. Its group structure includes businesses such as BT Leasing, BT Asset Management, BT Direct, BT Mic, BT Pensii, BT Capital Partners and Salt Bank. The group also controls Victoriabank in Moldova. Banca Transilvania became the first Romanian bank to list on the Bucharest Stock Exchange and remains one of the exchange's longest-standing and most prominent constituents. Its public ownership is dispersed among Romanian and foreign institutional investors, pension funds, mutual funds and individual shareholders. The European Bank for Reconstruction and Development is among the disclosed shareholders, while no single shareholder controls the bank. The listing has supported a broad shareholder base and provided a platform for capital raising and expansion. A major part of the bank's development has been its acquisition-led consolidation of the Romanian banking market. It acquired Volksbank Romania in 2015, Bancpost in 2018 and Idea Bank in 2022. The Bancpost transaction substantially increased the bank's customer base and market presence, while the later Idea Bank acquisition broadened its consumer-finance and digital capabilities. In 2024, BT agreed to acquire OTP Bank Romania and related subsidiaries from OTP Group. The transaction was completed in February 2025, after which the acquired operations were integrated into Banca Transilvania. The deal reinforced BT's position as Romania's largest bank by assets and expanded its reach across retail and corporate banking. The bank's strategy has generally emphasised scale, local decision-making, reinvestment of earnings, branch and distribution-network expansion, technology and cross-selling across the financial group. It adjusted its operating model after the 2008 global financial crisis, with greater emphasis on efficiency, risk management and balance-sheet resilience. Digital services have become increasingly important, while the group's launch of Salt Bank in 2024 added a dedicated fully digital banking proposition. Banca Transilvania is led by Chief Executive Officer Ömer Tetik and chaired by Horia Ciorcilă, one of the institution's original founders. It is designated by Romania's central bank as a systemically important financial institution. The brand positions itself as a broad-based Romanian financial partner combining mass-market banking with specialised services for entrepreneurs, companies and investors. Its public profile also includes sponsorships in Romanian basketball, football and international motorsport. Sustainability reporting, responsible finance and capital-markets access have become increasingly visible parts of its corporate identity.
History
Banca Transilvania was created on 16 February 1993 at the initiative of 46 Romanian entrepreneurs, most of them connected with Cluj-Napoca. The founders supplied initial capital of approximately two million US dollars. The institution began banking operations on 16 February 1994, opening with a single Cluj-Napoca branch and a staff of 13. Its first customers were drawn largely from the founders' personal and local networks, reflecting the bank's regional origins. The institution's early growth was based on serving Romanian households and businesses during the country's transition toward a market economy. It later expanded beyond Transylvania and began a nationwide branch-network program in 2001. This marked a significant change in scale and business model: the bank was no longer primarily a regional lender, but a national institution offering retail, commercial and emerging investment-banking services. Banca Transilvania was the first Romanian bank to list on the Bucharest Stock Exchange. Its public listing created a diversified ownership structure and gave the bank access to domestic equity-market capital. The bank became an enduring component of the Romanian market's principal share index and developed a shareholder base composed of individuals, companies, funds and international institutions. Rather than distributing most earnings, it generally reinvested profits in expansion, technology, capital and acquisitions; dividends were paid only on limited occasions during its first two decades. The 2008 global financial crisis prompted changes in the bank's operating priorities. Banca Transilvania placed greater weight on efficiency, credit-risk controls and balance-sheet resilience while continuing to expand its customer base. It retained a strong focus on Romanian entrepreneurs and small and medium-sized enterprises, areas that became central to its identity. Over time, its services broadened to include consumer finance, leasing, asset management, brokerage and other specialised financial activities. Acquisitions became a central growth mechanism from the middle of the 2010s. The purchase of Volksbank Romania in 2015 increased the bank's scale and customer reach. In 2018, Banca Transilvania completed its acquisition and merger of Bancpost, consolidating another sizeable Romanian banking operation. Idea Bank followed in 2022, adding further consumer and digital-finance capabilities. These transactions contributed to the consolidation of Romania's banking sector and helped BT build a wider financial group rather than relying solely on organic branch growth. In 2024, Banca Transilvania agreed to acquire OTP Bank Romania and associated businesses from OTP Group. The transaction was completed on 28 February 2025, after which the two banking operations were integrated. The merger further increased BT's share of Romanian banking assets and strengthened its position as the country's largest bank. The group also expanded its regional footprint through Victoriabank in Moldova, while developing non-bank subsidiaries in leasing, asset management, consumer lending, microfinance, pensions and capital markets. Technology and digital distribution have become increasingly important. In 2021, the bank obtained ISO 9001:2015 certification for its card-payment solutions after an external audit, covering point-of-sale and e-commerce services. In 2024, the group launched Salt Bank as a dedicated digital-bank proposition. This allowed the group to address customers who prefer app-based banking while maintaining the BT brand's traditional branch and relationship-banking model. The modern Banca Transilvania group combines universal banking with specialised financial services. Its subsidiaries include BT Leasing, BT Asset Management, BT Direct, BT Mic, BT Pensii, BT Capital Partners and Salt Bank. BT Capital Partners provides brokerage and capital-markets services, while the wider group participates in domestic and international funding markets. The bank has also increased its public emphasis on sustainability, reporting quality and responsible finance. Banca Transilvania remains headquartered in Cluj-Napoca and is led by CEO Ömer Tetik, with Horia Ciorcilă serving as chairman. Its development from a locally funded start-up into a systemically important Romanian banking group is one of the defining stories of the country's post-communist financial sector.
