Overview
Bread Financial Holdings, Inc., formerly known as Alliance Data Systems, is an American financial-services and payments company focused on consumer credit, private-label and co-branded credit-card programs, and related digital payment products. The company developed from the combination of two retail credit operations: J.C. Penney's credit-card processing unit and The Limited's credit-card banking operation. The merged business was established in December 1996 under the banking name World Financial Network National Bank and subsequently adopted Alliance Data as its corporate identity. Alliance Data built its business around the use of transaction data to support retail credit, customer acquisition, loyalty marketing, and direct marketing. Its Card Services division created and administered credit programs for retailers and other consumer brands, including private-label cards, co-branded cards, and commercial credit products. The company supported programs through affiliated banking entities that later operated as Comenity Bank and Comenity Capital Bank. This model allowed merchants to offer branded financing while outsourcing much of the underwriting, account servicing, marketing, and receivables-management infrastructure. The company expanded beyond card services through acquisitions. In 1998 it bought The Loyalty Group Canada, later known as LoyaltyOne, obtaining the Air Miles Rewards Program and a broader loyalty-marketing platform. Alliance Data later acquired or developed businesses in database marketing, digital marketing, analytics, customer relationship management, and loyalty consulting. Epsilon became an important part of this strategy, offering data-driven marketing, email, direct-mail, analytics, creative, and digital services. Other acquired businesses included Aspen Marketing Services, Hyper Marketing, BrandLoyalty, and Conversant-related assets. Alliance Data became a public company in 2001. It continued to pursue acquisitions and strategic expansion, although it also divested businesses that no longer fit its focus. Epsilon was sold to Publicis Groupe in 2019, and the LoyaltyOne operations were separated in 2021 into Loyalty Ventures, an independent public company containing the Canadian AIR MILES program and the Netherlands-based BrandLoyalty business. These transactions marked a substantial narrowing of Alliance Data's scope toward consumer credit, payments, and digital financial products. Leadership and corporate identity also changed during this period. Ed Heffernan, who had joined the company in 1998, became president and chief executive officer in 2009. He left the chief executive role in 2019 and was succeeded first by Melisa Miller and later by Ralph Andretta, a former Citi executive. The company opened its first international office in Bangalore in 2019, while its corporate center shifted from Plano, Texas, toward Columbus, Ohio, following the leadership transition and the growing importance of its card business. In March 2022, Alliance Data rebranded itself as Bread Financial. The new identity emphasized consumer payments, embedded finance, digital banking, and branded credit products rather than the broader data-marketing and loyalty portfolio associated with Alliance Data. Bread Financial has continued to serve merchants through private-label and co-branded credit programs and has introduced digital products such as the Bread Cashback American Express Credit Card. History
Bread Financial originated in the retail-credit infrastructure assembled by Alliance Data Systems. In December 1996, J.C. Penney's credit-card processing unit merged with The Limited's credit-card banking operation. The resulting organization operated through World Financial Network National Bank and focused on administering credit programs for retailers. The company expanded into loyalty marketing in August 1998 by acquiring The Loyalty Group Canada for $250 million. The acquired business became LoyaltyOne and brought the Air Miles Rewards Program into the corporate portfolio. Alliance Data went public in 2001, creating a platform for additional acquisitions in marketing, loyalty, and data services. During the 2000s and 2010s, the company assembled a diversified set of businesses. These included Colloquy, Epsilon, Bigfoot Interactive, Aspen Marketing Services, Hyper Marketing, BrandLoyalty, and Conversant-related operations. The businesses supported database marketing, direct marketing, digital advertising, customer analytics, loyalty consulting, and retail credit. The card operation remained a central business, serving numerous retailers through private-label, co-branded, and commercial credit programs. In 2012, the company also acquired a substantial private-label credit-card portfolio from The Bon-Ton Stores. Alliance Data faced strategic and governance changes during the same period. Blackstone announced an agreement to acquire the company in 2007, but Alliance Data terminated the merger agreement in 2008. The company also sold noncore operations, including its Network Services and Utility Services businesses. In 2009, Ed Heffernan became chief executive after a long tenure with the company. He was succeeded in 2019 by Melisa Miller and then Ralph Andretta. That year, the company opened its first international office in Bangalore, India. The data-marketing arm Epsilon was involved in a significant 2011 data-security incident in which email addresses associated with customers of numerous clients were exposed. The incident prompted public notification and congressional scrutiny. Epsilon was later sold to Publicis Groupe in 2019 for $4.4 billion. Separately, the company acquired the digital-payments business operating under the Bread trademark in 2019 and completed the transaction in 2020. In November 2021, Alliance Data completed the separation of LoyaltyOne. The transaction created Loyalty Ventures, which held the AIR MILES and BrandLoyalty businesses. With the loyalty and marketing portfolio reduced, Alliance Data adopted the Bread Financial name in March 2022. The rebrand represented a strategic shift toward consumer finance, merchant partnerships, payment products, branded credit, and digital financial services.
