Ahlstrom-Munksjö was a Finnish specialty-paper and fiber-based materials company that operated under that name from 2017 until 2022. It was formed when Ahlstrom Corporation merged with Munksjö Oyj, bringing together two businesses with long histories in specialty papers, nonwovens and engineered fiber products. The combined group served industrial customers rather than concentrating on ordinary office or newsprint paper. It subsequently expanded through acquisitions, including the purchase of Expera Specialty Solutions in the United States and the Caieiras specialty-paper mill in Brazil in 2018. In 2020, an investor consortium comprising Ahlström Capital, funds managed by Bain Capital, Viknum and Belgrano Inversiones announced a cash offer for the company. The tender offer was completed in 2021, after which the company became privately held and its shares were removed from Nasdaq Helsinki and Nasdaq Stockholm. In 2022, the business divested its Decor operation to a newly formed Swedish company named Munksjö AB. Following that ownership reorganization, the remaining company changed its name to Ahlstrom and adopted a refreshed identity. Ahlstrom-Munksjö is therefore best understood as the corporate name and brand used during the 2017–2022 period, while much of the operating business continued under the successor Ahlstrom organization. History
Ahlstrom-Munksjö united two long-established specialty-paper businesses. Munksjö began with the creation of a paper mill in Sweden in 1862, associated with inventor and industrialist Janne Lundström and financier, publisher and politician Lars Johan Hierta. Ahlstrom’s roots reach back to Antti Ahlström’s Finnish industrial activities, which began in the nineteenth century with timber trading, shipping and sawmilling before expanding into pulp, paper, engineering and other manufacturing. Ahlstrom’s paper production began in Varkaus in 1921, and the group became one of Finland’s leading industrial companies during the twentieth century. Ahlstrom expanded internationally in the 1960s, including through a majority acquisition in an Italian paper mill near Turin that produced filter papers and rifle-cartridge paper. This transaction was an important early example of international expansion by a Finnish industrial company. During the 1980s, Ahlstrom withdrew from newsprint and magazine paper and concentrated more strongly on specialty papers and engineering. The group expanded into nonwoven products during the 1990s and acquired the French specialty-paper and nonwovens producer Sibille-Dalle in 1996. In 2000, it acquired nonwovens facilities from Dexter Corporation in the United States, Sweden and the United Kingdom. Ahlstrom reorganized in 2001, separating its manufacturing operations into the publicly traded Ahlstrom Corporation while establishing Ahlstrom Capital as a private investment company and A.Ahlstrom Osakeyhtio as a private forestry and real-estate business. In 2012, Ahlstrom announced that its Label and Processing business would be combined with the Munksjö Group. The two companies announced a broader merger plan in 2016. The merger was registered on 1 April 2017. Ahlstrom Corporation was merged into Munksjö Oyj, and the combined company adopted the name Ahlstrom-Munksjö Oyj. Shares issued as merger consideration began trading on Nasdaq Helsinki and Nasdaq Stockholm. The company continued to develop and manufacture specialty papers, filtration products, nonwovens and other fiber-based materials for industrial customers. In 2017, it also sold its Osnabrück plant in Germany to Kammerer. In 2018, the acquisition of Expera Specialty Solutions in the United States and the Caieiras specialty-paper mill in Brazil broadened its geographic and product footprint. The ownership structure changed substantially after a consortium of Ahlström Capital, Bain Capital-managed funds, Viknum and Belgrano Inversiones made a cash offer in 2020. The tender offer was completed in 2021, turning the company into a private business and removing its shares from the Helsinki and Stockholm exchanges. In 2022, the Decor business was divested to Munksjö AB, a newly formed Swedish company. After the ownership reorganization, the remaining company changed its name to Ahlstrom and introduced a revised logo. Helen Mets became President and CEO of Ahlstrom in December 2022. The Ahlstrom-Munksjö name consequently refers primarily to the company’s 2017–2022 period, while the operating platform continued under Ahlstrom. The successor business has also faced environmental scrutiny. PFAS contamination investigations in Wisconsin and France have connected certain paper-mill sites associated with Ahlstrom, predecessor companies or other historical operators to contamination in soil, groundwater, sediments, fish and, in reported cases, human biological samples. These matters represent environmental and regulatory issues associated with parts of the company’s industrial history rather than a complete description of its product portfolio.
